EXPLANATORY NOTE

EXPLANATORY NOTE

The Bill amends the University of Ottawa Act, 1965 to change the composition of the board of governors. The number of members appointed by the Lieutenant Governor in Council is reduced from four to two. Four persons appointed by the Student Federation, and two persons appointed by the Graduate Students' Association are added to the Board. The maximum number of Board members (32) is unchanged.

An Act to amend the University of Ottawa Act, 1965

Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

1. Section 3 of the University of Ottawa Act, 1965 is repealed and the following substituted:

University incorporated

3. The Board is hereby continued as a corporation without share capital consisting of its members as determined under section 9, to be known in French as "Universit d'Ottawa" and in English as "University of Ottawa".

2. Section 9 of the Act is repealed and the following substituted:

Composition of Board

9. There shall be a board of governors of the University of not more than 32 members, consisting of,

(a)the Rector, who is a member by virtue of his or her office;

(b)two persons appointed by the Lieutenant Governor in Council;

(c)two persons appointed by the Senate from among its own members elected under clause 15 (1) (d);

(d)two persons appointed by the Alumni Association from among its own members;

(e)four persons appointed by the Student Federation from among its own members;

(f)two persons appointed by the Graduate Students' Association from among its own members;

(g)eight persons appointed by the Council of Administration of Saint Paul University; and

(h)such other persons as may be appointed by the Board.

Transition

3. (1) A person who is a member of the board of governors of the University of Ottawa immediately before this Act comes into force continues to be a member of the Board on the day this Act comes into force.

(2) If, immediately before this Act comes into force, more than two persons hold office as Board members appointed by the Lieutenant Governor in Council, those members continue to hold office on the day this Act comes into force.

(3) Subsections (1) and (2) apply even if the membership of the Board exceeds 32 as a result.

(4) A member of the Student Federation who is a member of the Board immediately before this section comes into force shall be deemed to have been appointed under clause 9 (1) (e) of the Act, as re-enacted by section 2 of this Act.

(5) A member of the Graduate Students' Association who is a member of the Board immediately before this section comes into force shall be deemed to have been appointed under clause 9 (1) (f) of the Act, as re-enacted by section 2 of this Act.

Repeal

(6) This section is repealed on the fourth anniversary of the date on which this Act comes into force.

4. Subsections 10 (1) and (2) of the Act are repealed and the following substituted:

Board, term of office

10. (1) The term of an appointment under clauses 9 (1) (b), (c), (d), (e), (f), (g) and (h) shall not exceed three years.

Board, method of appointment

(2) Members appointed under clause 9 (1) (h) shall be appointed in rotation in a manner which the Board may determine by by-law.

(2.1) The Board may by by-law determine the term of office, and method of appointment, replacement and retirement of persons appointed under clause 9 (1) (h).

Commencement

5. This Act comes into force on Royal Assent.

Short title

6. The short title of this Act is the University of Ottawa Amendment Act, 1999.
