The Chair (Mr. Ted McMeekin): Okay. We’ll call the Standing Committee on Regulations and Private Bills to order.

For our first item of business, I understand that one of our PC members has a motion they would like to put forward.

Mr. Jeff Yurek: I move that Mr. Bill Walker replace Mr. MacLaren on the subcommittee on committee business.

The Chair (Mr. Ted McMeekin): Any discussion?

Mr. Lou Rinaldi: I think we should debate that.

Mr. Grant Crack: Why?

Mr. Arthur Potts: I would like to hear the rationale from the member opposite as to why we would want Bill Walker as the subcommittee chairman.

Mr. Grant Crack: We’re happy, Chair. We’re happy. It’s all good.

The Chair (Mr. Ted McMeekin): Okay. All those in favour? Opposed, if any? Carried without dissenting vote. Thank you.

Ms. Jennifer K. French: Does Bill agree?

Consideration of the following bill:

Bill Pr66, An Act to revive SKAS Auto Services Inc.

The Chair (Mr. Ted McMeekin): For our next item of business there are two private bills on the agenda for consideration. I will first introduce the sponsor, Mr. Yurek, please. For both? Subbing for both, he’s got an awesome responsibility on his shoulders.

Mr. Yurek, speaking for Ms. Martow.

Mr. Jeff Yurek: Sure, Chair. I’m just filling in for Ms. Martow about Bill Pr66, An Act to revive SKAS Auto Services Inc. Mr. Khanna is here and I will hand it over. Just introduce yourself and a quick discussion.

Mr. Prakash Khanna: Sure.

The Chair (Mr. Ted McMeekin): Welcome, Mr. Khanna.

Mr. Prakash Khanna: Thank you, sir.

The Chair (Mr. Ted McMeekin): Go ahead and explain your situation, if you would, please.

Mr. Prakash Khanna: Okay. This company was dissolved in July 2013. Then, subsequent to the dissolution, we received an assessment notice from CRA. Then we took the CRA to the Tax Court of Canada. The crown said in the Tax Court of Canada, “Seeing the company was dissolved, it has no standing. If you want to fight this case, you have to revive the company.” That’s why we are here.

Mr. Jeff Yurek: That’s fair.

Mr. Prakash Khanna: That’s all.

The Chair (Mr. Ted McMeekin): Okay. Is there any other interested party here who wants to make a comment?

Did you say the CIA?

Mr. Prakash Khanna: Yes, sir.

Ms. Jennifer K. French: CRA.

The Chair (Mr. Ted McMeekin): Oh, CRA.

Mr. Prakash Khanna: Canada Revenue Agency; the tax people.

The Chair (Mr. Ted McMeekin): I was going to say you’re in some pretty rich company if you’re—

Okay. I don’t see any other interested parties. Are there any comments from the government side? Mr. Rinaldi?

Mr. Lou Rinaldi: Thank you, Mr. Khanna. Once the company is revived to deal with the CRA issue, what is the company going to do?

Mr. Prakash Khanna: We’ll appeal the assessment issued by CRA.

Mr. Lou Rinaldi: Okay, but is the company going to stay alive or is it going to dissolve again?

Mr. Prakash Khanna: No, it was dissolved in 2013.

Mr. Lou Rinaldi: I know that, but now you’re asking to revive the company?

Mr. Prakash Khanna: Yes.

Mr. Lou Rinaldi: Okay. So after it’s revived and you deal with the CRA issue that you’re—

Mr. Prakash Khanna: Yes, sir.

Mr. Lou Rinaldi: What happens after that?

Mr. Prakash Khanna: It depends upon the outcome, what happens in the tax court. We win or the CRA wins; thereafter we’ll proceed. I cannot tell you today what we’ll do after that.

Mr. Lou Rinaldi: Okay. Thank you.

The Chair (Mr. Ted McMeekin): Ms. Wong for the government.

Ms. Soo Wong: Thank you, Chair. Through you to the applicant, why was the company dissolved in 2013?

Mr. Prakash Khanna: Sorry?

Ms. Soo Wong: Why was the company dissolved in 2013.

Mr. Prakash Khanna: There was a family problem, and the only person who was a shareholder of the company was Mr. Sethi. The business was going down. That’s why it was dissolved.

Ms. Soo Wong: Okay. And if it gets revived again, is your client prepared to continue to operate the company?

Mr. Prakash Khanna: I cannot say this thing now, unless I ask them.

Ms. Soo Wong: Okay. Thank you.

The Chair (Mr. Ted McMeekin): Ms. French.

Ms. Jennifer K. French: I had a similar question, but I recognize that you don’t have the answer of the intent of your client and what they’ll do.

You said it was 2012 or 2013 that it was originally dissolved?

Mr. Prakash Khanna: 2013.

Ms. Jennifer K. French: Why was it dissolved?

Mr. Prakash Khanna: There was a family problem. The only shareholder was Mr. Panju Lal Sethi—and he has the children. That’s why it was dissolved.

Ms. Jennifer K. French: So it was a personal matter at that time that may not—

Mr. Prakash Khanna: It’s a family matter.

Ms. Jennifer K. French: Okay.

The Chair (Mr. Ted McMeekin): Any other questions or comments? Are the members ready to vote?

Millar Wajer Holdings Inc. Act, 2017

Consideration of the following bill:

Bill Pr67, An Act to revive Millar Wajer Holdings Inc.

The Chair (Mr. Ted McMeekin): Mr. Yurek, for a preamble.

Mr. Jeff Yurek: It’s great to be here today. I’m subbing for Mr. John Yakabuski, who is busy being the whip of the party at this time.

I’ll introduce Bill Pr67, An Act to revive Millar Wajer Holdings Inc. Dan Thompson, the solicitor, is here to speak on it.

Mr. Dan Thompson: Angela Millar was the sole shareholder of Millar Wajer Holdings up until her death on May 16, 2013. The corporation remained in her estate, and all it had were some portfolio investments and real estate. To wind up the estate, we had to liquidate the portfolio investments, and we sold all the real estate. The only asset that was left in the company was a mortgage receivable. Upon dissolution, we hadn’t transferred the mortgage legally through registering the title and stuff. Upon dissolution, the error was brought to our attention. So we need to revive the company to transfer the title legally to the four children, and then dissolve the company after that process is completed.

The Chair (Mr. Ted McMeekin): Is there anybody else here who wants to speak to this? Seeing no one, we’ll then ask the government if they have any questions. I ask the opposition, do they have any questions? Okay. Are we ready for the vote?

Mr. Bill Walker: Oh, thank you.

Mr. Jeff Yurek: I was worried about that.

The Chair (Mr. Ted McMeekin): I was tossing and turning.

The Clerk will explain further.

The Clerk of the Committee (Mr. Christopher Tyrell): The correspondence that has been handed out was exhibited at a previous meeting, but on the first page it says that there should be an English and French memo attached. That memo was not attached previously, so it’s being re-exhibited with the memo attached for the committee’s information.

The Chair (Mr. Ted McMeekin): That’s what I thought I said, but you said it so much better than me, so it’s okay.

Interjection: Can you read it for us en français?
