An Act respecting The Sisters of St. Joseph of Hamilton

Preamble

The board of directors of The Sisters of St. Joseph of Hamilton has applied for special legislation respecting the powers of the corporation. The applicant represents that the corporation was incorporated on December 30, 1879 under An Act respecting Benevolent, Provident and other Societies, being chapter 167 of the Revised Statutes of Ontario, 1877 under the name The Sisters of St. Joseph of the Diocese of Hamilton. The name of the corporation was changed to The Sisters of St. Joseph of Hamilton by supplementary letters patent dated February 28, 1989, issued under the Corporations Act.

It is appropriate to grant the application.

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

Definitions

1.  In this Act,

"congregation" means the Sisters of St. Joseph of Hamilton, a religious institute of pontifical right in the Roman Catholic Church in Canada;

"corporation" means The Sisters of St. Joseph of Hamilton;

"Mother Superior" means the Mother Superior of the congregation.

Members of the corporation

3.  (1)  The corporation is composed of its members.

(2)  The members of the corporation are determined in accordance with the by-laws.

(3)  The Mother Superior is a member of the corporation.

Objects

4.  (1)  The following are the objects of the corporation:

1. To establish, equip, maintain and operate a religious institution in the Roman Catholic Diocese of Hamilton and elsewhere for the relief of the poor and the sick and other persons in need.

3. To construct, equip, maintain and operate facilities for the institution to carry on its educational, hospital and other charitable works.

Prerequisite to changes

(2)  The objects of the corporation cannot be changed by supplementary letters patent unless the board of directors obtains the prior written consent of the Mother Superior to the changes.

Powers

5.  The corporation has the capacity and the rights, powers and privileges of a natural person.

Board of directors

6.  (1)  The affairs of the corporation shall be conducted and managed by its board of directors.

Composition

(2)  The board of directors is composed of the Mother Superior and such other persons as may be specified by by-law.

President

7.  (1)  The Mother Superior is the president of the corporation.

Same

(2)  If the office of Mother Superior is vacant or if the Mother Superior is unable to exercise powers and perform duties under this Act, the Mother Assistant may do so.

Repeals

8.  The following are repealed:

1. Section 2 of An Act respecting the Sisters of Saint Joseph of the Roman Catholic Diocese of Hamilton, being chapter 82 of the Statutes of Ontario, 1880.

2. An Act respecting the Sisters of St. Joseph of the Diocese of Hamilton, being chapter 105 of the Statutes of Ontario, 1901.

3. The Sisters of St. Joseph (Hamilton) Act, 1932.

4. The Sisters of St. Joseph (Hamilton) Act, 1938.

Commencement

9.  This Act comes into force on the day it receives Royal Assent.

Short title

10.  The short title of this Act is the Sisters of St. Joseph of Hamilton Act, 2006.

2. To apprentice the orphans or bind them out to a healthy trade, business or occupation and to exercise the same powers, rights and authority over the orphans as their parents, if living, might have exercised.

3. To construct, equip, maintain and operate facilities for the institution to carry on its educational, hospital and other charitable works.

4. To pursue such other objects as the members of the corporation may consent to, in accordance with the Corporations Act.

5.  The corporation has the capacity and the rights, powers and privileges of a natural person.

6.  (1)  The affairs of the corporation shall be conducted and managed by its board of directors.

Composition

(2)  The board of directors is composed of the Mother Superior and such other persons as may be specified by by-law.

7.  (1)  The Mother Superior is the president of the corporation.
