An Act respecting
Conrad Grebel University College

Preamble

The Board of Governors of Conrad Grebel University College has applied for special legislation to amend the Conrad Grebel College Act, 1988 to change Board members' term of office and to make a technical change to the references in the Act to the Mennonite Conference of Eastern Canada.

It is appropriate to grant the application.

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

1.  Section 6 of the Conrad Grebel College Act, 1988, as re-enacted by the Statutes of Ontario, 2001, chapter Pr11, section 2, is repealed and the following substituted:

Composition of the Board

6.  (1)  The Board of Governors of the College is composed of the following persons:

1. The president of the College.

2. Nine members to be elected by the Mennonite Church Eastern Canada.

3. One member to be appointed by the alumni association from among the members of the alumni association.

4. One member to be appointed by the faculty from among the members of faculty.

5. One member to be appointed by the students from among the students.

6. Such other members, not exceeding four in number, as may be appointed by the other members of the Board.

Change in composition

(2)  The Board may, by a by-law of the Board, increase the size of the Board to a maximum of 22 members, with the appointment of the additional members to be determined by a by-law of the College.

Restriction

(3)  The composition of the Board cannot be changed in such a way that the members appointed by the students, faculty and staff of the College constitute a majority of members of the Board.

Eligibility

(4)  Only Canadian citizens or permanent residents within the meaning of the Immigration and Refugee Protection Act (Canada) are eligible to hold office as Board members.

Term of office

(5)  Board members elected under paragraph 2 of subsection (1) or appointed under paragraph 3 or 6 of subsection (1) hold office for a term of three years and are eligible to hold office for a maximum of two additional consecutive terms.

(6)  Board members appointed under paragraph 4 or 5 of subsection (1) hold office for a term of one year and are eligible to be reappointed for a maximum of one additional consecutive term.

Change in term of office

(7)  The Board may change the term of office of its members by a by-law of the Board.

Transition

(8)  Board members who hold office on July 1, 2004 and who were elected under paragraph 2 of subsection (1) or appointed under paragraph 3 or 6 of subsection (1) are eligible to hold office for a maximum of two additional consecutive terms of three years.

(9)  Despite subsection (6), Board members who hold office on June 30, 2004 and who were appointed under paragraph 4 or 5 of subsection (1) continue to hold office until the term for which they were appointed expires. They are eligible to be reappointed for a maximum of one additional consecutive term of one year.

2.  The Act is amended by adding the following section:

Quorum

6.0.1  The quorum for the transaction of business by the Board may be established by a by-law of the Board.

3.  Section 11 of the Act, as re-enacted by the Statutes of Ontario, 2001, chapter Pr11, section 3, is repealed and the following substituted:

Dissolution

11.  Upon the dissolution of the College and after all its debts and liabilities are paid, the remaining property of the College shall be given to the Mennonite Church Eastern Canada or its successor.

Commencement

4.  This Act comes into force on July 1, 2004.

Short title

5.  The short title of this Act is the Conrad Grebel University College Act, 2004.
