An Act respecting the
Association of Registered Graphic Designers of Ontario
Preamble
The board of directors of the Association of Registered Graphic Designers of Ontario has applied for special legislation to enable the Association to establish the term of office of elected directors by by-law. The applicant represents that the Association was incorporated by the Association of Registered Graphic Designers of Ontario Act, 1996.
It is appropriate to grant the application.
Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:
1. Section 3 of the Association of Registered Graphic Designers of Ontario Act, 1996 is repealed and the following substituted:
Board of directors
3. (1) The affairs of the Association shall be managed by a board of directors.
Composition
(2) The board shall consist of not fewer than nine persons and not more than 35 persons, as the board may determine by by-law.
Past president
(3) The immediate past president of the Association shall be a member of the board.
Appointed members
(4) The Association may by by-law provide for the appointment to the board of up to three persons who are not members of the Association.
Election
(5) The remaining members of the board shall be members of the Association who are elected in accordance with the by-laws of the Association.
Term of office
(6) The term of office of elected directors is determined in accordance with the by-laws of the Association.
Same
(7) The by-laws of the Association may provide for the election and retirement of directors in rotation, but in that case no director shall be elected for a term of more than five years and at least three directors shall retire from office in each year.
Local regions
(8) The Association may by by-law divide the membership of the Association into regions for the purpose of holding local meetings, organizing local activities and electing one or more directors.
Quorum
(9) At any meeting of the board, two-thirds of the members of the board constitutes a quorum.
Officers
(10) The board shall elect from its members a president, one or more vice-presidents, a treasurer and a secretary.
Vacancies
(11) In case of the death, resignation or incapacity of any member of the board, the board shall fill the vacancy for the balance of the term in the manner provided by the by-laws of the Association and, for the purpose of this subsection, the board may by by-law provide that a member's absence from a specified number of meetings of the board be treated as his or her incapacity.
Commencement
2. This Act comes into force on the day it receives Royal Assent.
Short title
3. The short title of this Act is the Association of Registered Graphic Designers of Ontario Act, 2004.
