An Act to enact the Ontario Forest Tenure Modernization Act, 2011 and to amend the Crown Forest Sustainability Act, 1994

Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

Definitions and Administration

Definitions

   1.  In this Act,

"forest resource licence" means a licence under Part III of the Crown Forest Sustainability Act, 1994; ("permis forestier")

"Minister" means the Minister of Northern Development, Mines and Forestry or any other member of the Executive Council to whom responsibility for the administration of this Act may be assigned or transferred under the Executive Council Act; ("ministre")

"Ontario local forest management corporation" means a corporation incorporated under section 3; ("société locale ontarienne de gestion forestière")

"prescribed" means prescribed by regulation made under this Act; ("prescrit")

"regulation" means a regulation made under this Act. ("règlement")

Administration of Act

   2.  The Minister is responsible for the administration of this Act.

Ontario Local Forest Management Corporations, Corporate Matters

Establishment of corporations

   3.  (1)  The Lieutenant Governor in Council may by regulation incorporate one or more Ontario local forest management corporations as corporations without share capital on the recommendation of the Minister.

Recommendation of Minister

   (2)  Before he or she makes a recommendation for the incorporation of an Ontario local forest management corporation, the Minister shall ensure that a review is conducted and shall have regard to the review in deciding whether or not to make a recommendation under this section.

   (3)  For purposes of deciding whether or not to make a recommendation under this section, the Minister may have regard to a review that was conducted or updated within three years before the Minister decides whether or not to make the recommendation.

Contents of review

   (4)  The review shall consider any existing Ontario local forest management corporations and other entities that hold sustainable forest licences granted or extended under section 26 of the Crown Forest Sustainability Act, 1994.

Exception, first five years

   (5)  Despite subsection (1), the Lieutenant Governor in Council shall establish no more than two Ontario local forest management corporations during the five-year period that begins on the day this section comes into force and ends on the fifth anniversary of the day this section comes into force.

   (6)  Subsection (2) does not apply with respect to the incorporation of the first two Ontario local forest management corporations.

Corporations Information Act, etc.

   (7)  The Corporations Information Act, the Corporations Act and the Not-for-Profit Corporations Act, 2010 do not apply to Ontario local forest management corporations, except as may be prescribed.

Crown Forest Sustainability Act, 1994

   (8)  The Crown Forest Sustainability Act, 1994 applies to Ontario local forest management corporations.

Crown agents

   4.  Ontario local forest management corporations and their subsidiaries, if any, are Crown agents for all purposes.

Objects of corporation

   5.  The following are the objects of an Ontario local forest management corporation:

    1.  To hold forest resource licences and manage Crown forests in a manner necessary to provide for the sustainability of Crown forests in accordance with the Crown Forest Sustainability Act, 1994 and to promote the sustainability of Crown forests.

    2.  To provide for economic development opportunities for aboriginal peoples.

    3.  To manage its affairs to become a self-sustaining business entity and to optimize the value from Crown forest resources while recognizing the importance of local economic development.

    4.  To market, sell and enable access to a predictable and competitively priced supply of Crown forest resources.

    5.  To carry out such other objects as may be prescribed by regulation.

Ontario Local Forest Management Corporations, Boards of Directors

Board of directors

   6.  (1)  Each Ontario local forest management corporation shall consist of no more than 12 members appointed by the Lieutenant Governor in Council, or such number as may be prescribed, who shall form the board of directors of the corporation.

Term

   (2)  The members of the board of directors of an Ontario local forest management corporation shall be appointed for a term of office at the pleasure of the Lieutenant Governor in Council.

Remuneration and expenses

   (3)  Each Ontario local forest management corporation shall pay its members the remuneration and expenses that the Lieutenant Governor in Council determines.

Chair and vice-chair

   (4)  For each Ontario local forest management corporation, the Lieutenant Governor in Council shall designate one of the members of the board of the corporation as chair of the board and at least one member as vice-chair of the board.

Absence of chair

   (5)  If the chair of the board of an Ontario local forest management corporation is absent or otherwise unable to act or if the office is vacant, the vice-chair shall act in the place of the chair.

Quorum

   (6)  A majority of the members of the board of an Ontario local forest management corporation constitutes a quorum of the board, unless otherwise prescribed.

Conflict of interest, standards of care and indemnification

   (7)  Section 132 (conflict of interest), subsection 134 (1) (standards of care) and section 136 (indemnification) of the Business Corporations Act apply with necessary modifications to each Ontario local forest management corporation, its board of directors and its officers.

Termination

   (8)  A member ceases to be a member of the board of directors of an Ontario local forest management corporation if,

  (a)  the member's term, as specified in his or her appointment, expires;

  (b)  the Lieutenant Governor in Council revokes the member's appointment as a member of the corporation;

   (c)  the member dies, resigns as a member of the board of directors or becomes a bankrupt.

Powers and duties of board

   7.  (1)  The affairs of each Ontario local forest management corporation are under the management and control of its board of directors.

By-laws, general

   (2)  A board of directors may pass by-laws and resolutions for regulating its proceedings and generally for the conduct and management of the affairs of the corporation.

By-laws, consent of Minister

   (3)  No by-law of an Ontario local forest management corporation is effective unless the Minister has consented to the by-law.

Borrow, invest or manage financial risk by-law, consent

   (4)  A local forest management corporation shall not borrow money, invest or manage financial risk unless the activity is authorized by a by-law and, in addition to the consent of the Minister, the Minister of Finance has consented to the by-law.

Committees

Committees of the board

   8.  (1)  A board of directors of an Ontario local forest management corporation may by by-law establish one or more committees of the board as it considers appropriate.

Advisory committees

   (2)  The board of directors of an Ontario local forest management corporation may by by-law establish one or more advisory committees, whose membership may be composed of individuals other than members of the board.

Ontario Local Forest Management Corporations, General Powers

Powers, natural person

   9.  (1)  Each Ontario local forest management corporation has the capacity, rights, powers and privileges of a natural person for carrying out its objects, except as limited under this Act.

Delegation

   (2)  Where an Ontario local forest management corporation has by-laws that permit it and the Minister consents, an Ontario local forest management corporation may delegate any of its powers or duties under this Act to a subsidiary corporation established under section 10, a committee of the board or any other person or body.

   (3)  A delegation of powers or duties is subject to any conditions and restrictions that may be specified by the board of directors.

Minister's approval

   (4)  An Ontario local forest management corporation shall not, without the approval of the Minister, acquire or dispose of any interest in real property or pledge, charge or encumber any of its personal property, except as is reasonably necessary or incidental to carrying out its objects and as a holder of forest resource licences, including leasing office or other space that is reasonably necessary for the purposes of the corporation.

Limitation re subsidiaries

   10.  (1)  Subject to subsection (2), an Ontario local forest management corporation may establish and dissolve subsidiary corporations.

   (2)  The establishment of a subsidiary corporation under subsection (1), the structure, powers, duties, governance, constitution and management of the subsidiary corporation, the dissolution of the subsidiary corporation and the terms of its dissolution shall be subject to the approval of the Lieutenant Governor in Council.

Ontario Local Forest Management Corporations, General Manager, Employees, etc.

General manager

   11.  Each Ontario local forest management corporation shall appoint a person to be the general manager of the corporation who shall be subject to the control and management of the board and who shall be paid by the corporation the remuneration and expense allowance as may be fixed by the corporation and approved by the Minister.

Employees, etc.

   12.  Each Ontario local forest management corporation may,

  (a)  subject to the approval of the Minister, establish job classifications, personnel qualifications, duties, powers and salary ranges for its officers and employees;

  (b)  appoint, employ and promote its officers and employees in conformity with the classifications, qualifications and salary ranges approved by the Minister; and

   (c)  dismiss its officers and employees for just cause.

Professional assistance

   13.  An Ontario local forest management corporation may,

  (a)  engage persons, other than those mentioned in section 12, to provide professional, technical or other assistance to or on behalf of the corporation; and

  (b)  establish the terms of engagement and provide for the payment of the remuneration and expenses of persons engaged under clause (a).

Ontario Local Forest Management Corporations, Immunity of Employees and Others

Immunity of employees and others

   14.  (1)  No action or other civil proceeding shall be commenced against a member, officer or employee of an Ontario local forest management corporation or a subsidiary for any act done in good faith in the exercise or performance or intended exercise or performance of a power or duty under this Act, the regulations, the by-laws of the corporation or a subsidiary or under a directive issued under subsection 22 (1) or for any neglect or default in the exercise or performance in good faith of such a power or duty.

Immunity of the Crown and Crown agencies

   (2)  No action or other civil proceeding shall be commenced against the Crown or a Crown agency for any act, neglect or default by a person mentioned in subsection (1) or for any act, neglect or default by an Ontario local forest management corporation or a subsidiary.

Liability of corporation or subsidiary

   (3)  Subsections (1) and (2) do not relieve the Ontario local forest management corporation or a subsidiary of any liability to which it would otherwise be subject in respect of a cause of action arising from any act, neglect or default mentioned in subsection (1).

Ontario Local Forest Management Corporations, Financial Matters

Temporary investments

   15.  (1)  An Ontario local forest management corporation may temporarily invest money not immediately required to carry out its objects if,

  (a)  a by-law of the Ontario local forest management corporation authorizes the investments; and

  (b)  in accordance with subsection 7 (4), the Minister of Finance has consented to the by-law.

   (2)  For purposes of clause (1) (a), an Ontario local forest management corporation is authorized to invest in the following:

    1.  Securities issued by or guaranteed as to principal and interest by a municipality in Canada, the Province of Ontario, any other province of Canada or Canada.

    2.  Guaranteed investment certificates of any trust corporation that is registered under the Loan and Trust Corporations Act.

    3.  Term deposits accepted by a credit union as defined in the Credit Unions and Caisses Populaires Act, 1994.

    4.  Deposit receipts, deposit notes, certificates of deposits, acceptances and other similar instruments issued or endorsed by any bank listed in Schedule I, II or III to the Bank Act (Canada).

Grants by Minister

   16.  The Minister may make grants to an Ontario local forest management corporation at such times and upon such terms as the Minister considers advisable.

Status of revenues and assets

   17.  (1)  Despite Part I of the Financial Administration Act, the revenues and assets of an Ontario local forest management corporation and its subsidiaries, if any, do not form part of the Consolidated Revenue Fund.

Use of revenue

   (2)  The revenues of an Ontario local forest management corporation shall be used to further its objects and for no other purpose.

Accounting system

   18.  Each Ontario local forest management corporation shall establish and maintain an accounting system satisfactory to the Minister.

Financial records, etc.

   19.  (1)  Each Ontario local forest management corporation shall maintain financial records for the corporation and its subsidiaries and shall establish financial, management and information systems that will enable the corporation to prepare financial statements in accordance with generally accepted accounting principles.

Inspection

   (2)  Upon the request of the Minister or the Minister of Finance, an Ontario local forest management corporation and its subsidiaries shall promptly make their financial records available for inspection.

Other information

   (3)  An Ontario local forest management corporation and its subsidiaries shall promptly make such other information as may be requested by the Minister or the Minister of Finance available for inspection.

Fiscal year

   20.  The fiscal year of an Ontario local forest management corporation commences on April 1 in each year and ends on March 31 of the following year.

Audit

   21.  (1)  The board of directors of each Ontario local forest management corporation shall appoint one or more licensed public accountants to audit the accounts and financial transactions of the corporation and its subsidiaries for the previous fiscal year.

Auditor General

   (2)  The Auditor General may also audit the accounts and financial transactions of an Ontario local forest management corporation and any of its subsidiaries for any fiscal year.

Minister appointed auditor

   (3)  The Minister may at any time appoint a licensed public accountant, other than the person appointed under subsection (1), to audit the accounts and financial transactions of an Ontario local forest management corporation and any of its subsidiaries for any period of time that the Minister specifies.

Co-operation by corporation

   (4)  If the Minister requires that an audit of an Ontario local forest management corporation and any of its subsidiaries be conducted under subsection (3), the corporation shall co-operate fully with the person performing the audit to facilitate the audit.

Directives, Business Plan and Annual Report

Minister's directives

   22.  (1)  The Minister may issue directives in writing to Ontario local forest management corporations in respect of any matter under this Act.

Compliance

   (2)  The board of directors of an Ontario local forest management corporation shall ensure that the directives are implemented promptly and efficiently and are complied with by the corporation.

General or specific

   (3)  A directive may be general or specific in its application and may apply to one or more specified Ontario local forest management corporations or a specified class of Ontario local forest management corporations.

Legislation Act, 2006

   (4)  Part III of the Legislation Act, 2006 does not apply to a directive issued under this section.

Business plan

   23.  (1)  At least three months before the beginning of each fiscal year or by such other date as the Minister specifies, each Ontario local forest management corporation shall submit its business plan for the fiscal year to the Minister for approval.

Contents

   (2)  Unless specified otherwise by the Minister, the business plan must be based on a three-year cycle and must include,

  (a)  the corporation's proposed operating budget for the fiscal year;

  (b)  the corporation's projected operating budget for each of the next two fiscal years after the fiscal year;

   (c)  the projected revenues of the corporation for the fiscal year and their sources;

  (d)  the projected operating expenditures of the corporation for the fiscal year;

  (e)  performance measures establishing targets for the fiscal year; and

    (f)  all other information that the Minister requires.

Changes

   (3)  An Ontario local forest management corporation may make changes to its business plan with the approval of the Minister.

Annual report

   24.  (1)  The board of each Ontario local forest management corporation shall submit an annual report on its affairs to the Minister within 120 days after the end of each fiscal year or by such other date as the Minister specifies.

   (2)  The annual report shall include the audited financial statements of the Ontario local forest management corporation.

Other reports

   25.  Each Ontario local forest management corporation shall promptly prepare and submit to the Minister any other report that the Minister requires.

Winding Up Corporation

Winding up a corporation

   26.  (1)  The Lieutenant Governor in Council may by order require the board of directors of an Ontario local forest management corporation to wind up the affairs of the corporation.

Approved plan required

   (2)  The board shall prepare a proposed plan for winding up the Ontario local forest management corporation and transferring its assets and liabilities and shall give the proposed plan to the Lieutenant Governor in Council for approval.

Restriction

   (3)  Before winding up the Ontario local forest management corporation, the board shall ensure that any of the corporation's outstanding liabilities related to forest management under the Crown Forest Sustainability Act, 1994 or other applicable legislation that are owed to the Crown are satisfied before the corporation's assets and liabilities are transferred.

Restriction

   (4)  Subject to subsection (3), the plan for winding up the Ontario local forest management corporation may provide for,

  (a)  liquidating assets and transferring the proceeds to the Consolidated Revenue Fund or to an agency of the Crown; and

  (b)  transferring assets and liabilities to the Crown in right of Ontario or to an agency of the Crown.

Implementation

   (5)  When the Lieutenant Governor in Council approves the proposed plan, the board of directors shall wind up the affairs of the Ontario local forest management corporation and transfer its assets and liabilities, including transferring the proceeds from the liquidation of assets, in accordance with the plan.

Regulations

Regulations, general

   27.  (1)  The Lieutenant Governor in Council may make regulations,

  (a)  governing Ontario local forest management corporations;

  (b)  prescribing anything that is required or permitted to be prescribed or that is required or permitted to be done in accordance with the regulations or as provided by the regulations;

   (c)  defining words and expressions that are used in this Act that are not expressly defined in this Act;

  (d)  exempting any person or thing or any class of them from this Act, any provision of this Act, any regulations made by the Lieutenant Governor in Council or any provision of such a regulation and setting out the circumstances, if any, specified in the regulations and establishing any conditions that attach to the exemption.

   (2)  As examples of general matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  incorporating Ontario local forest management corporations;

  (b)  prescribing additional objects for Ontario local forest management corporations;

   (c)  authorizing additional powers for Ontario local forest management corporations for purposes of achieving its objects, including any additional objects that may be prescribed;

  (d)  respecting the assets and liabilities of Ontario local forest management corporations;

  (e)  in respect of members of Ontario local forest management corporations,

           (i)  prescribing persons or classes of persons who may provide lists of potential members to the Minister,

          (ii)  respecting reserving positions as members to certain persons or classes of persons,

         (iii)  respecting persons or classes of persons who must be included as members,

         (iv)  respecting the qualifications of members,

          (v)  respecting persons or classes of persons who are prohibited from being members or who are prohibited from being nominated as a member,

         (vi)  prescribing the maximum number of members appointed to the board of directors of an Ontario local forest management corporation.

   (3)  As examples of corporate matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  amalgamating or dissolving one or more Ontario local forest management corporations;

  (b)  dividing an Ontario local forest management corporation into two or more Ontario local forest management corporations;

   (c)  changing the name of an Ontario local forest management corporation;

  (d)  making such other corporate changes as the Lieutenant Governor in Council considers advisable or expedient.

   (4)  In respect of corporate matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  establishing processes or requirements for dealing with the employees and the assets, including real and personal property, liabilities, rights and obligations of Ontario local forest management corporations upon the amalgamation, dissolution or division of one or more Ontario local forest management corporations under clause (3) (a) or (b);

  (b)  establishing processes or requirements for corporate changes as may be prescribed under clause (3) (d).

Amendments to the Crown Forest Sustainability Act, 1994

Crown Forest Sustainability Act, 1994

   28.  (1)  The definitions of "Minister" and "Ministry" in section 3 of the Crown Forest Sustainability Act, 1994 are repealed and the following substituted:

"Minister" means the Minister of Natural Resources or any other member of the Executive Council to whom responsibility for the administration of this Act may be assigned or transferred under the Executive Council Act; ("ministre")

"Ministry" means the ministry of the Minister; ("ministère")

   (2)  Section 24 of the Act is amended by adding the following subsection:

   (4)  This section does not apply with respect to entering into an agreement under section 25 with or granting a forest resource licence to an Ontario local forest management corporation incorporated under the Ontario Forest Tenure Modernization Act, 2011 and the exception under this subsection is in addition to any exception under subsection (3).

   (3)  Subsection 25 (3) of the Act is repealed.

   (4)  Section 28 of the Act is repealed and the following substituted:

Terms and conditions

   28.  (1)  The following are subject to such terms and conditions as are prescribed by regulation and to such other terms and conditions as may be specified in the licence, agreement or commitment:

    1.  A forest resource licence.

    2.  An agreement to supply forest resources entered into under section 25.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Application

   (2)  Subsection (1) applies to licences, agreements and commitments issued or entered into before and after this section comes into force.

Additional authority

   (3)  The terms and conditions that may be prescribed by regulation or specified in the licence, agreement or commitment under subsection (1) are in addition to the power of the Minister to amend a forest resource licence in accordance with section 34 and are not subject to section 34.

   (5)  Subsection 32 (1) of the Act is amended by striking out "Minister of Natural Resources" and substituting "Minister responsible for this section".

   (6)  Section 35 of the Act is amended by adding the following subsection:

   (1.1)  In the written consent, the Minister may impose conditions on the transfer, assignment, charge or other disposition of the forest resource licence.

   (7)  The Act is amended by adding the following section:

Surrender of licences

   35.1  (1)  A licensee may, with the written consent of the Minister, surrender a forest resource licence on such terms as the Minister may impose.

   (2)  Nothing in subsection (1) affects the validity of the surrender of a licence which occurred before the day this section came into force.

   (8)  Part III of the Act is amended by adding the following sections:

Cancellations of agreements, licences or commitments

   41.1  (1)  The Minister may cancel any of the following:

    1.  An agreement to supply forest resources entered into under section 25.

    2.  A forest resource licence.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Grounds for cancellation

   (2)  The Minister may cancel an agreement, licence or commitment if the Minister is of the opinion that,

  (a)  the cancellation is necessary or desirable to facilitate or permit the issuance of a forest resource licence to,

           (i)  an Ontario local forest management corporation that has been, or is proposed to be, established, or

          (ii)  a company or entity that was formed for the purpose of carrying out forest management responsibilities in a management unit where the company or entity is not associated with any particular forest resource processing facility and the party holding the agreement, licence or commitment to be cancelled was offered an opportunity to participate in the company or entity; or

  (b)  the party holding the agreement, licence or commitment is not, in accordance with any criteria that may be prescribed by regulation, sufficiently and consistently using the forest resources that are the subject of the agreement, licence or commitment.

Approval necessary

   (3)  The Minister may cancel an agreement, licence or commitment under this section only with the approval of the Lieutenant Governor in Council.

Right to make representations

   (4)  Before cancelling an agreement, licence or commitment, the Minister shall,

  (a)  give the holder of the agreement, licence or commitment written notice of the Minister's intention to cancel the agreement, licence or commitment and of the reasons for the cancellation; and

  (b)  give the holder of the agreement, licence or commitment an opportunity to make representations to the Minister on the reasons why the agreement, licence or commitment should not be cancelled.

Additional authority

   (5)  The authority of the Minister to cancel an agreement, licence or commitment is in addition to the authority of the Minister to cancel or suspend a forest resource licence under section 59 and is not subject to section 59.

Definition

   (6)  In this section,

"Ontario local forest management corporation" means an Ontario local forest management corporation incorporated under section 3 of the Ontario Forest Tenure Modernization Act, 2011.

Limitations on remedies

   41.2  (1)  No cause of action arises as a direct or indirect result of,

  (a)  the re-enactment of subsection 28 (1) or anything done or not done in accordance with it or regulations made in respect of it;

  (b)  the amendment of a forest resource licence under section 34 or 38;

   (c)  the granting of a subsequent forest resource licence under section 38;

  (d)  the enactment of section 41.1 or anything done or not done in accordance with it; or

  (e)  the suspension or cancellation of a forest resource licence under section 59.

No remedy

   (2)  No costs, compensation or damages are owing or payable to any person and no remedy, including but not limited to a remedy in contract, restitution, tort or trust, is available to any person in connection with anything referred to in subsection (1).

Proceedings barred

   (3)  No proceeding, including but not limited to any proceeding in contract, restitution, tort or trust, that is directly or indirectly based on or related to anything referred to in subsection (1) may be brought or maintained against any person.

   (4)  Subsection (3) applies regardless of whether the cause of action on which the proceeding is purportedly based arose before or after the coming into force of this section.

Proceedings set aside

   (5)  Any proceeding referred to in subsection (3) commenced before the day this section comes into force shall be deemed to have been dismissed, without costs, on the day this section comes into force.

No expropriation or injurious affection

   (6)  Nothing done or not done in accordance with the provisions referred to in subsection (1) or the regulations made in respect of them constitutes an expropriation or injurious affection for the purposes of the Expropriations Act or otherwise at law.

Exception, proceeding by the Crown

   (7)  This section does not apply to a proceeding commenced by the Crown and nothing in this section precludes a proceeding commenced by the Crown.

Person defined

   (8)  In this section,

"person" includes, but is not limited to, the Crown and its employees and agents, members of the Executive Council, and municipalities and their employees and agents.

   (9)  Part VI of the Act is amended by adding the following section:

Returns

   54.1  (1)  A person who holds a forest resource processing facility licence shall make returns that contain the information prescribed by regulation, including,

  (a)  information on the sources, species, quantities and disposition of forest resources processed; and

  (b)  financial information on pricing, purchases, sales and exchanges of forest resources.

Information provided to service provider

   (2)  In accordance with the regulations, a forest processing facility licensee shall, at the Minister's direction, provide the financial information described in clause (1) (b) to a service provider.

Access to records

   (3)  The service provider shall,

  (a)  aggregate the financial information provided under subsection (2) such that it cannot be reasonably attributed to the forest processing facility licensee that provided it to the service provider; and

  (b)  provide the Minister with access to all of the aggregated financial information described in clause (a).

Confidentiality

   (4)  The Minister and the service provider shall maintain in confidence all information described in clause (1) (b) that has not been aggregated.

F.O.I. Act

   (5)  Subsection (4) prevails over the Freedom of Information and Protection of Privacy Act.

Definition

   (6)  In this section,

"service provider" means a person who is at arm's length from the Crown in right of Ontario and who has entered into a service provider agreement with the Crown in right of Ontario.

   (10)  Subsection 69 (1) of the Act is amended by adding the following paragraph:

  0.1  prescribing anything that is required or permitted to be prescribed by regulation or that is required or permitted to be done in accordance with the regulations or as provided by the regulations;

   (11)  Paragraph 6 of subsection 69 (1) of the Act is repealed and the following substituted:

    6.  governing terms and conditions that are applicable to,

            i.  agreements to supply persons with forest resources entered into under section 25,

           ii.  forest resource licences, and

          iii.  agreements with or commitments of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest;

   (12)  Paragraph 25 of subsection 69 (1) of the Act is repealed and the following substituted:

  25.  governing the returns that forest resource processing facility licensees make, including,

            i.  to the Minister, in respect of information on sources, species, quantities and disposition of forest resources processed,

            ii  to a service provider and the Minister, in respect of financial information that a forest resource processing facility licensee provides in accordance with section 54.1;

   (13)  Clauses 74 (2) (b), (c) and (d) of the Act are repealed.

Commencement and Short Title

Commencement

   29.  This Act comes into force on the day it receives Royal Assent.

Short title

   30.  The short title of this Act is the Ontario Forest Tenure Modernization Act, 2011.

 

EXPLANATORY NOTE

This Explanatory Note was written as a reader's aid to Bill 151 and does not form part of the law.  Bill 151 has been enacted as Chapter 10 of the Statutes of Ontario, 2011.

 

The Bill enacts the Ontario Forest Tenure Modernization Act, 2011 and amends the Crown Forest Sustainability Act, 1994.

The Ontario Forest Tenure Modernization Act, 2011 permits the Lieutenant Governor in Council, on the recommendation of the Minister, to incorporate by regulation one or more Ontario local forest management corporations.  Ontario local forest management corporations and their subsidiaries are Crown agents for all purposes.

The objects of an Ontario local forest management corporation include holding forestry resource licences and managing Crown forests in a sustainable manner, providing economic development opportunities for aboriginal peoples, managing its affairs as a self sustaining business entity and optimizing the value from Crown forest resources and marketing, selling and enabling access to a predictable and competitively priced supply of Crown forest resources.

Each Ontario local forest management corporation shall consist of its members who are appointed by the Lieutenant Governor in Council and who form the board of directors of the corporation.  The Lieutenant Governor in Council must designate one member as chair of the board and at least one member as vice-chair of the board.

Each Ontario local forest management corporation is under the management and control of its board of directors which may pass by-laws and resolutions for regulating its proceedings and generally for the conduct and management of the affairs of the corporation.  No by-law is effective unless the Minister of Northern Development, Mines and Forestry has consented to it.  An Ontario local forest management corporation shall not borrow money, invest or manage financial risk unless the activity is authorized by a by-law and, in addition to the Minister of Northern Development, Mines and Forestry, the Minister of Finance has consented to the by-law.  The board may by by-law establish committees of the board and may by by-law establish advisory committees, which may be composed of individuals other than members of the board.

An Ontario local forest management corporation has the capacity, rights, powers and privileges of a natural person for carrying out its objects, except as limited under the Act.  Where its by-laws permit it and the Minister of Northern Development, Mines and Forestry consents, an Ontario local forest management corporation may delegate any of its powers or duties to a subsidiary corporation, a committee of the board or any other person or body.  A delegation is subject to any conditions and restrictions that may be specified by the board of directors.  The establishment of a subsidiary corporation by an Ontario local forest management corporation and other matters dealing with a subsidiary, including its dissolution, are subject to the approval of the Lieutenant Governor in Council.

Each Ontario local forest management corporation shall appoint a general manager of the corporation and may establish job classifications, personnel qualifications, duties, powers and salary ranges for its officers and employees.  Members of the corporation and its officers and employees are generally not liable for any act done in good faith in the exercise or performance or intended exercise or performance of a power or duty under the Act or for any neglect or default in the exercise or performance in good faith of such a power or duty. The Ontario local forest management corporation, however, remains subject to any cause of action arising from any such act, neglect or default.

An Ontario local forest management corporation may temporarily invest money not immediately required to carry out its objects if authorized to do so by by-law and the by-law has been consented to by the Minister of Finance.  The Act specifies the classes of instruments in which such temporary investments may be made.  The Minister of Northern Development, Mines and Forestry may make grants to an Ontario local forest management corporation.

Ontario local forest management corporations are required to establish and maintain an accounting system and to maintain financial records and establish and maintain financial, management and information systems.  The board of directors of an Ontario local forest management corporation is required to appoint a licensed public accountant to annually audit the corporation and, in addition, such a corporation is subject to audit by the Auditor General.

The Minister may issue directives to Ontario local forest management corporations, which must ensure that the directives are complied with promptly and efficiently.  In addition, three months before the beginning of the fiscal year, an Ontario local forest management corporation must submit its business plan for the Minister's approval.  The board of an Ontario local forest management corporation must also submit an annual report to the Minister.

The Lieutenant Governor in Council may by order require the board of directors of an Ontario local forest management corporation to wind up the affairs of the corporation.

The Lieutenant Governor in Council is empowered to make regulations in respect of the Act.

The amendments to the Crown Forest Sustainability Act, 1994 include amending section 24 by adding a subsection that provides that section 24 does not apply with respect to entering into agreements under section 25 with or granting a forest resource licence to Ontario local forest management corporations.

Section 28 is repealed and replaced with a section that applies not only to forest resource licences, as was the case under the former section, but also applies to agreements to supply forest resources and any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

A new section, section 35.1, is added to the Act that permits a licensee with the written consent of the Minister to surrender a forest resource licence on such terms as the Minister may impose.  The Act is further amended by adding section 41.1 which permits the Minister, with the approval of the Lieutenant Governor in Council, to cancel an agreement to supply forest resources, a forest resource licence and any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.  The grounds for cancellation are set out in subsection 41.1 (2).  Before cancelling an agreement, licence or commitment, the Minister must give notice of his or her intention to cancel to the holder of the agreement, licence or commitment and must give that person the opportunity to make representations to the Minister.

The new section 41.2 provides that no cause of action arises as a result of the re-enactment of subsection 28 (1) or anything done or not done in accordance with it or regulations made in respect of it, the amendment of a forest resource licence under section 34 or 38, the granting of a subsequent forest resource licence under section 38, the enactment of section 41.1 or anything done or not done in accordance with it or the suspension or cancellation of a forest resource licence under section 59.

The Act is amended by adding a new section, section 54.1, requiring holders of forest resource processing facility licences to make returns containing the specified information.  Certain financial information is provided to a third party who aggregates the information so it cannot be reasonably attributed to the licensee who provided it and who provides the aggregated information to the Minister.  A service provider is a person who is at arm's length from the Crown in right of Ontario and who has entered into a service provider agreement with the Crown in right of Ontario.

The regulation making authority in the Act is also amended.

Definitions and Administration

Definitions

   1.  In this Act,

"forest resource licence" means a licence under Part III of the Crown Forest Sustainability Act, 1994; ("permis forestier")

"Minister" means the Minister of Northern Development, Mines and Forestry or any other member of the Executive Council to whom responsibility for the administration of this Act may be assigned or transferred under the Executive Council Act; ("ministre")

"Ontario local forest management corporation" means a corporation incorporated under section 3; ("société locale ontarienne de gestion forestière")

"prescribed" means prescribed by regulation made under this Act; ("prescrit")

"regulation" means a regulation made under this Act. ("règlement")

Administration of Act

   2.  The Minister is responsible for the administration of this Act.

Ontario Local Forest Management Corporations, Corporate Matters

Establishment of corporations

   3.  (1)  The Lieutenant Governor in Council may by regulation incorporate one or more Ontario local forest management corporations as corporations without share capital on the recommendation of the Minister.

Recommendation of Minister

   (1.1)  Before he or she makes a recommendation for the incorporation of an Ontario local forest management corporation, the Minister shall ensure that a review is conducted and shall have regard to the review in deciding whether or not to make a recommendation under this section.

Same

   (1.2)  For purposes of deciding whether or not to make a recommendation under this section, the Minister may have regard to a review that was conducted or updated within three years before the Minister decides whether or not to make the recommendation.

Contents of review

   (1.3)  The review shall consider any existing Ontario local forest management corporations and other entities that hold sustainable forest licences granted or extended under section 26 of the Crown Forest Sustainability Act, 1994.

Exception, first five years

   (1.4)  Despite subsection (1), the Lieutenant Governor in Council shall establish no more than two Ontario local forest management corporations during the five-year period that begins on the day this section comes into force and ends on the fifth anniversary of the day this section comes into force.

   (1.5)  Subsection (1.1) does not apply with respect to the incorporation of the first two Ontario local forest management corporations.

Corporations Information Act, etc.

   (2)  The Corporations Information Act, the Corporations Act and the Not-for-Profit Corporations Act, 2010 do not apply to Ontario local forest management corporations, except as may be prescribed.

Crown Forest Sustainability Act, 1994

   (3)  The Crown Forest Sustainability Act, 1994 applies to Ontario local forest management corporations.

Crown agents

   4.  Ontario local forest management corporations and their subsidiaries, if any, are Crown agents for all purposes. 

Objects of corporation

   5.  The following are the objects of an Ontario local forest management corporation:

    1.  To hold forest resource licences and manage Crown forests in a manner necessary to provide for the sustainability of Crown forests in accordance with the Crown Forest Sustainability Act, 1994 and to promote the sustainability of Crown forests.

    2.  To provide for economic development opportunities for aboriginal peoples.

    3.  To manage its affairs to become a self-sustaining business entity and to optimize the value from Crown forest resources while recognizing the importance of local economic development.

    4.  To market, sell and enable access to a predictable and competitively priced supply of Crown forest resources.

    5.  To carry out such other objects as may be prescribed by regulation.

Ontario Local Forest Management Corporations, Boards of Directors

Board of directors

   6.  (1)  Each Ontario local forest management corporation shall consist of no more than 12 members appointed by the Lieutenant Governor in Council, or such number as may be prescribed, who shall form the board of directors of the corporation.

Term

   (2)  The members of the board of directors of an Ontario local forest management corporation shall be appointed for a term of office at the pleasure of the Lieutenant Governor in Council.

Remuneration and expenses

   (3)  Each Ontario local forest management corporation shall pay its members the remuneration and expenses that the Lieutenant Governor in Council determines.

Chair and vice-chair

   (4)  For each Ontario local forest management corporation, the Lieutenant Governor in Council shall designate one of the members of the board of the corporation as chair of the board and at least one member as vice-chair of the board. 

Absence of chair

   (5)  If the chair of the board of an Ontario local forest management corporation is absent or otherwise unable to act or if the office is vacant, the vice-chair shall act in the place of the chair.

Quorum

   (6)  A majority of the members of the board of an Ontario local forest management corporation constitutes a quorum of the board, unless otherwise prescribed.

Conflict of interest, standards of care and indemnification

   (7)  Section 132 (conflict of interest), subsection 134 (1) (standards of care) and section 136 (indemnification) of the Business Corporations Act apply with necessary modifications to each Ontario local forest management corporation, its board of directors and its officers.

Termination

   (8)  A member ceases to be a member of the board of directors of an Ontario local forest management corporation if,

  (a)  the member's term, as specified in his or her appointment, expires; 

  (b)  the Lieutenant Governor in Council revokes the member's appointment as a member of the corporation;

   (c)  the member dies, resigns as a member of the board of directors or becomes a bankrupt.

Powers and duties of board

   7.  (1)  The affairs of each Ontario local forest management corporation are under the management and control of its board of directors. 

By-laws, general

   (2)  A board of directors may pass by-laws and resolutions for regulating its proceedings and generally for the conduct and management of the affairs of the corporation.

By-laws, consent of Minister

   (3)  No by-law of an Ontario local forest management corporation is effective unless the Minister has consented to the by-law.

Borrow, invest or manage financial risk by-law, consent

   (4)  A local forest management corporation shall not borrow money, invest or manage financial risk unless the activity is authorized by a by-law and, in addition to the consent of the Minister, the Minister of Finance has consented to the by-law.

Committees

Committees of the board

   8.  (1)  A board of directors of an Ontario local forest management corporation may by by-law establish one or more committees of the board as it considers appropriate. 

Advisory committees

   (2)  The board of directors of an Ontario local forest management corporation may by by-law establish one or more advisory committees, whose membership may be composed of individuals other than members of the board.

Ontario Local Forest Management Corporations, General Powers

Powers, natural person

   9.  (1)  Each Ontario local forest management corporation has the capacity, rights, powers and privileges of a natural person for carrying out its objects, except as limited under this Act. 

Delegation

   (2)  Where an Ontario local forest management corporation has by-laws that permit it and the Minister consents, an Ontario local forest management corporation may delegate any of its powers or duties under this Act to a subsidiary corporation established under section 10, a committee of the board or any other person or body.

   (3)  A delegation of powers or duties is subject to any conditions and restrictions that may be specified by the board of directors. 

Minister's approval

   (4)  An Ontario local forest management corporation shall not, without the approval of the Minister, acquire or dispose of any interest in real property or pledge, charge or encumber any of its personal property, except as is reasonably necessary or incidental to carrying out its objects and as a holder of forest resource licences, including leasing office or other space that is reasonably necessary for the purposes of the corporation.

Limitation re subsidiaries

   10.  (1)  Subject to subsection (2), an Ontario local forest management corporation may establish and dissolve subsidiary corporations.

   (2)  The establishment of a subsidiary corporation under subsection (1), the structure, powers, duties, governance, constitution and management of the subsidiary corporation, the dissolution of the subsidiary corporation and the terms of its dissolution shall be subject to the approval of the Lieutenant Governor in Council.

Ontario Local Forest Management Corporations, General Manager, Employees, etc.

General manager

   11.  Each Ontario local forest management corporation shall appoint a person to be the general manager of the corporation who shall be subject to the control and management of the board and who shall be paid by the corporation the remuneration and expense allowance as may be fixed by the corporation and approved by the Minister. 

Employees, etc.

   12.  Each Ontario local forest management corporation may,

  (a)  subject to the approval of the Minister, establish job classifications, personnel qualifications, duties, powers and salary ranges for its officers and employees;

  (b)  appoint, employ and promote its officers and employees in conformity with the classifications, qualifications and salary ranges approved by the Minister; and

   (c)  dismiss its officers and employees for just cause.

Professional assistance

   13.  An Ontario local forest management corporation may,

  (a)  engage persons, other than those mentioned in section 12, to provide professional, technical or other assistance to or on behalf of the corporation; and

  (b)  establish the terms of engagement and provide for the payment of the remuneration and expenses of persons engaged under clause (a). 

Ontario Local Forest Management Corporations, Immunity of Employees and Others

Immunity of employees and others

   14.  (1)  No action or other civil proceeding shall be commenced against a member, officer or employee of an Ontario local forest management corporation or a subsidiary for any act done in good faith in the exercise or performance or intended exercise or performance of a power or duty under this Act, the regulations, the by-laws of the corporation or a subsidiary or under a directive issued under subsection 22 (1) or for any neglect or default in the exercise or performance in good faith of such a power or duty. 

Immunity of the Crown and Crown agencies

   (2)  No action or other civil proceeding shall be commenced against the Crown or a Crown agency for any act, neglect or default by a person mentioned in subsection (1) or for any act, neglect or default by an Ontario local forest management corporation or a subsidiary. 

Liability of corporation or subsidiary

   (3)  Subsections (1) and (2) do not relieve the Ontario local forest management corporation or a subsidiary of any liability to which it would otherwise be subject in respect of a cause of action arising from any act, neglect or default mentioned in subsection (1).

Ontario Local Forest Management Corporations, Financial Matters

Temporary investments

   15.  (1)  An Ontario local forest management corporation may temporarily invest money not immediately required to carry out its objects if,

  (a)  a by-law of the Ontario local forest management corporation authorizes the investments; and

  (b)  in accordance with subsection 7 (4), the Minister of Finance has consented to the by-law.

Same, authorized investments

   (2)  For purposes of clause (1) (a), an Ontario local forest management corporation is authorized to invest in the following:

    1.  Securities issued by or guaranteed as to principal and interest by a municipality in Canada, the Province of Ontario, any other province of Canada or Canada.

    2.  Guaranteed investment certificates of any trust corporation that is registered under the Loan and Trust Corporations Act.

    3.  Term deposits accepted by a credit union as defined in the Credit Unions and Caisses Populaires Act, 1994.

    4.  Deposit receipts, deposit notes, certificates of deposits, acceptances and other similar instruments issued or endorsed by any bank listed in Schedule I, II or III to the Bank Act (Canada).

Grants by Minister

   16.  The Minister may make grants to an Ontario local forest management corporation at such times and upon such terms as the Minister considers advisable.

Status of revenues and assets

   17.  (1)  Despite Part I of the Financial Administration Act, the revenues and assets of an Ontario local forest management corporation and its subsidiaries, if any, do not form part of the Consolidated Revenue Fund.

Use of revenue

   (2)  The revenues of an Ontario local forest management corporation shall be used to further its objects and for no other purpose.

Accounting system

   18.  Each Ontario local forest management corporation shall establish and maintain an accounting system satisfactory to the Minister.

Financial records, etc.

   19.  (1)  Each Ontario local forest management corporation shall maintain financial records for the corporation and its subsidiaries and shall establish financial, management and information systems that will enable the corporation to prepare financial statements in accordance with generally accepted accounting principles. 

Inspection

   (2)  Upon the request of the Minister or the Minister of Finance, an Ontario local forest management corporation and its subsidiaries shall promptly make their financial records available for inspection. 

Other information

   (3)  An Ontario local forest management corporation and its subsidiaries shall promptly make such other information as may be requested by the Minister or the Minister of Finance available for inspection.

Fiscal year

   20.  The fiscal year of an Ontario local forest management corporation commences on April 1 in each year and ends on March 31 of the following year. 

Audit

   21.  (1)  The board of directors of each Ontario local forest management corporation shall appoint one or more licensed public accountants to audit the accounts and financial transactions of the corporation and its subsidiaries for the previous fiscal year. 

Auditor General

   (2)  The Auditor General may also audit the accounts and financial transactions of an Ontario local forest management corporation and any of its subsidiaries for any fiscal year.

Minister appointed auditor

   (3)  The Minister may at any time appoint a licensed public accountant, other than the person appointed under subsection (1), to audit the accounts and financial transactions of an Ontario local forest management corporation and any of its subsidiaries for any period of time that the Minister specifies. 

Co-operation by corporation

   (4)  If the Minister requires that an audit of an Ontario local forest management corporation and any of its subsidiaries be conducted under subsection (3), the corporation shall co-operate fully with the person performing the audit to facilitate the audit.

Directives, Business Plan and Annual Report

Minister's directives

   22.  (1)  The Minister may issue directives in writing to Ontario local forest management corporations in respect of any matter under this Act.

Compliance

   (2)  The board of directors of an Ontario local forest management corporation shall ensure that the directives are implemented promptly and efficiently and are complied with by the corporation.

General or specific

   (3)  A directive may be general or specific in its application and may apply to one or more specified Ontario local forest management corporations or a specified class of Ontario local forest management corporations. 

Legislation Act, 2006

   (4)  Part III of the Legislation Act, 2006 does not apply to a directive issued under this section.

Business plan

   23.  (1)  At least three months before the beginning of each fiscal year or by such other date as the Minister specifies, each Ontario local forest management corporation shall submit its business plan for the fiscal year to the Minister for approval. 

Contents

   (2)  Unless specified otherwise by the Minister, the business plan must be based on a three-year cycle and must include,

  (a)  the corporation's proposed operating budget for the fiscal year;

  (b)  the corporation's projected operating budget for each of the next two fiscal years after the fiscal year;

   (c)  the projected revenues of the corporation for the fiscal year and their sources;

  (d)  the projected operating expenditures of the corporation for the fiscal year;

  (e)  performance measures establishing targets for the fiscal year; and

    (f)  all other information that the Minister requires.

Changes

   (3)  An Ontario local forest management corporation may make changes to its business plan with the approval of the Minister. 

Annual report

   24.  (1)  The board of each Ontario local forest management corporation shall submit an annual report on its affairs to the Minister within 120 days after the end of each fiscal year or by such other date as the Minister specifies. 

Contents

   (2)  The annual report shall include the audited financial statements of the Ontario local forest management corporation.

Other reports

   25.  Each Ontario local forest management corporation shall promptly prepare and submit to the Minister any other report that the Minister requires. 

Winding Up Corporation

Winding up a corporation

   26.  (1)  The Lieutenant Governor in Council may by order require the board of directors of an Ontario local forest management corporation to wind up the affairs of the corporation. 

Approved plan required

   (2)  The board shall prepare a proposed plan for winding up the Ontario local forest management corporation and transferring its assets and liabilities and shall give the proposed plan to the Lieutenant Governor in Council for approval. 

Restriction

   (3)  Before winding up the Ontario local forest management corporation, the board shall ensure that any of the corporation's outstanding liabilities related to forest management under the Crown Forest Sustainability Act, 1994 or other applicable legislation that are owed to the Crown are satisfied before the corporation's assets and liabilities are transferred.

Restriction

   (4)  Subject to subsection (3), the plan for winding up the Ontario local forest management corporation may provide for,

  (a)  liquidating assets and transferring the proceeds to the Consolidated Revenue Fund or to an agency of the Crown; and

  (b)  transferring assets and liabilities to the Crown in right of Ontario or to an agency of the Crown. 

Implementation

   (5)  When the Lieutenant Governor in Council approves the proposed plan, the board of directors shall wind up the affairs of the Ontario local forest management corporation and transfer its assets and liabilities, including transferring the proceeds from the liquidation of assets, in accordance with the plan. 

Regulations

Regulations, general

   27.  (1)  The Lieutenant Governor in Council may make regulations,

  (a)  governing Ontario local forest management corporations;

  (b)  prescribing anything that is required or permitted to be prescribed or that is required or permitted to be done in accordance with the regulations or as provided by the regulations;

   (c)  defining words and expressions that are used in this Act that are not expressly defined in this Act;

  (d)  exempting any person or thing or any class of them from this Act, any provision of this Act, any regulations made by the Lieutenant Governor in Council or any provision of such a regulation and setting out the circumstances, if any, specified in the regulations and establishing any conditions that attach to the exemption.

   (2)  As examples of general matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  incorporating Ontario local forest management corporations;

  (b)  prescribing additional objects for Ontario local forest management corporations;

   (c)  authorizing additional powers for Ontario local forest management corporations for purposes of achieving its objects, including any additional objects that may be prescribed;

  (d)  respecting the assets and liabilities of Ontario local forest management corporations;

  (e)  in respect of members of Ontario local forest management corporations,

           (i)  prescribing persons or classes of persons who may provide lists of potential members to the Minister,

          (ii)  respecting reserving positions as members to certain persons or classes of persons,

         (iii)  respecting persons or classes of persons who must be included as members,

         (iv)  respecting the qualifications of members,

          (v)  respecting persons or classes of persons who are prohibited from being members or who are prohibited from being nominated as a member,

         (vi)  prescribing the maximum number of members appointed to the board of directors of an Ontario local forest management corporation.

   (3)  As examples of corporate matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  amalgamating or dissolving one or more Ontario local forest management corporations;

  (b)  dividing an Ontario local forest management corporation into two or more Ontario local forest management corporations;

   (c)  changing the name of an Ontario local forest management corporation;

  (d)  making such other corporate changes as the Lieutenant Governor in Council considers advisable or expedient.

  (a)  establishing processes or requirements for dealing with the employees and the assets, including real and personal property, liabilities, rights and obligations of Ontario local forest management corporations upon the amalgamation, dissolution or division of one or more Ontario local forest management corporations under clause (3) (a) or (b);

  (b)  establishing processes or requirements for corporate changes as may be prescribed under clause (3) (d).

Amendments to the Crown Forest Sustainability Act, 1994

Crown Forest Sustainability Act, 1994

   28.  (1)  The definitions of "Minister" and "Ministry" in section 3 of the Crown Forest Sustainability Act, 1994 are repealed and the following substituted:

"Minister" means the Minister of Natural Resources or any other member of the Executive Council to whom responsibility for the administration of this Act may be assigned or transferred under the Executive Council Act; ("ministre")

"Ministry" means the ministry of the Minister; ("ministère")

   (2)  Section 24 of the Act is amended by adding the following subsection:

   (4)  This section does not apply with respect to entering into an agreement under section 25 with or granting a forest resource licence to an Ontario local forest management corporation incorporated under the Ontario Forest Tenure Modernization Act, 2011 and the exception under this subsection is in addition to any exception under subsection (3). 

   (3)  Subsection 25 (3) of the Act is repealed.

   (4)  Section 28 of the Act is repealed and the following substituted:

Terms and conditions

   28.  (1)  The following are subject to such terms and conditions as are prescribed by regulation and to such other terms and conditions as may be specified in the licence, agreement or commitment:

    1.  A forest resource licence.

    2.  An agreement to supply forest resources entered into under section 25.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Application

   (2)  Subsection (1) applies to licences, agreements and commitments issued or entered into before and after this section comes into force.

Additional authority

   (3)  The terms and conditions that may be prescribed by regulation or specified in the licence, agreement or commitment under subsection (1) are in addition to the power of the Minister to amend a forest resource licence in accordance with section 34 and are not subject to section 34. 

   (5)  Subsection 32 (1) of the Act is amended by striking out "Minister of Natural Resources" and substituting "Minister responsible for this section". 

   (6)  Section 35 of the Act is amended by adding the following subsection:

   (1.1)  In the written consent, the Minister may impose conditions on the transfer, assignment, charge or other disposition of the forest resource licence. 

   (7)  The Act is amended by adding the following section:

Surrender of licences

   35.1  (1)  A licensee may, with the written consent of the Minister, surrender a forest resource licence on such terms as the Minister may impose.

   (2)  Nothing in subsection (1) affects the validity of the surrender of a licence which occurred before the day this section came into force.

   (8)  Part III of the Act is amended by adding the following sections:

Cancellations of agreements, licences or commitments

   41.1  (1)  On the recommendation of the Minister, the Lieutenant Governor in Council may by order cancel any of the following:

    1.  An agreement to supply forest resources entered into under section 25.

    2.  A forest resource licence.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Grounds for cancellation

   (2)  The Lieutenant Governor in Council may make an order under subsection (1) if the Lieutenant Governor in Council is of the opinion that,

  (a)  the order is necessary or desirable to facilitate or permit the issuance of a forest resource licence to an Ontario local forest management corporation that has been, or is proposed to be, established;

  (b)  the party holding the agreement, licence or commitment is not optimally using the forest resources as permitted in the agreement, licence or commitment and that making the forest resources available to another party for harvesting or for use for a designated purpose is likely to result in a more optimal use of the forest resources; or

   (c)  the order is necessary or desirable for such other reasons, whether or not the reasons are related to the reasons set out in clause (a) or (b), as are prescribed by the regulations.

Additional authority

   (3)  The authority of the Lieutenant Governor in Council to cancel an agreement, licence or commitment under subsection (1) is in addition to the authority of the Minister to cancel or suspend a forest resource licence under section 59 and is not subject to section 59.

Definition

   (4)  In this section,

"Ontario local forest management corporation" means an Ontario local forest management corporation incorporated under section 3 of the Ontario Forest Tenure Modernization Act, 2011.

Cancellations of agreements, licences or commitments

   41.1  (1)  The Minister may cancel any of the following:

    1.  An agreement to supply forest resources entered into under section 25.

    2.  A forest resource licence.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Grounds for cancellation

   (2)  The Minister may cancel an agreement, licence or commitment if the Minister is of the opinion that,

  (a)  the cancellation is necessary or desirable to facilitate or permit the issuance of a forest resource licence to,

           (i)  an Ontario local forest management corporation that has been, or is proposed to be, established, or

          (ii)  a company or entity that was formed for the purpose of carrying out forest management responsibilities in a management unit where the company or entity is not associated with any particular forest resource processing facility and the party holding the agreement, licence or commitment to be cancelled was offered an opportunity to participate in the company or entity; or

  (b)  the party holding the agreement, licence or commitment is not, in accordance with any criteria that may be prescribed by regulation, sufficiently and consistently using the forest resources that are the subject of the agreement, licence or commitment.

Approval necessary

   (3)  The Minister may cancel an agreement, licence or commitment under this section only with the approval of the Lieutenant Governor in Council.

Right to make representations

   (4)  Before cancelling an agreement, licence or commitment, the Minister shall,

  (a)  give the holder of the agreement, licence or commitment written notice of the Minister's intention to cancel the agreement, licence or commitment and of the reasons for the cancellation; and

  (b)  give the holder of the agreement, licence or commitment an opportunity to make representations to the Minister on the reasons why the agreement, licence or commitment should not be cancelled.

Additional authority

   (5)  The authority of the Minister to cancel an agreement, licence or commitment is in addition to the authority of the Minister to cancel or suspend a forest resource licence under section 59 and is not subject to section 59.

Definition

   (6)  In this section,

"Ontario local forest management corporation" means an Ontario local forest management corporation incorporated under section 3 of the Ontario Forest Tenure Modernization Act, 2011.

Limitations on remedies

   41.2  (1)  No cause of action arises as a direct or indirect result of,

  (a)  the re-enactment of subsection 28 (1) or anything done or not done in accordance with it or regulations made in respect of it;

  (b)  the amendment of a forest resource licence under section 34 or 38;

   (c)  the granting of a subsequent forest resource licence under section 38;

  (d)  the enactment of section 41.1 or anything done or not done in accordance with it; or

  (e)  the suspension or cancellation of a forest resource licence under section 59.

No remedy

   (2)  No costs, compensation or damages are owing or payable to any person and no remedy, including but not limited to a remedy in contract, restitution, tort or trust, is available to any person in connection with anything referred to in subsection (1).

Proceedings barred

   (3)  No proceeding, including but not limited to any proceeding in contract, restitution, tort or trust, that is directly or indirectly based on or related to anything referred to in subsection (1) may be brought or maintained against any person.

   (4)  Subsection (3) applies regardless of whether the cause of action on which the proceeding is purportedly based arose before or after the coming into force of this section. 

Proceedings set aside

   (5)  Any proceeding referred to in subsection (3) commenced before the day this section comes into force shall be deemed to have been dismissed, without costs, on the day this section comes into force. 

No expropriation or injurious affection

   (6)  Nothing done or not done in accordance with the provisions referred to in subsection (1) or the regulations made in respect of them constitutes an expropriation or injurious affection for the purposes of the Expropriations Act or otherwise at law.

Exception, proceeding by the Crown

   (7)  This section does not apply to a proceeding commenced by the Crown and nothing in this section precludes a proceeding commenced by the Crown.

Person defined

   (8)  In this section,

"person" includes, but is not limited to, the Crown and its employees and agents, members of the Executive Council, and municipalities and their employees and agents. 

   (8.1)  Part VI of the Act is amended by adding the following section:

Returns

   54.1  (1)  A person who holds a forest resource processing facility licence shall make returns that contain the information prescribed by regulation, including,

  (a)  information on the sources, species, quantities and disposition of forest resources processed; and

  (b)  financial information on pricing, purchases, sales and exchanges of forest resources.  

Information provided to service provider

   (2)  In accordance with the regulations, a forest processing facility licensee shall, at the Minister's direction, provide the financial information described in clause (1) (b) to a service provider.

Access to records

   (3)  The service provider shall,

  (a)  aggregate the financial information provided under subsection (2) such that it cannot be reasonably attributed to the forest processing facility licensee that provided it to the service provider; and

  (b)  provide the Minister with access to all of the aggregated financial information described in clause (a).

Confidentiality

   (4)  The Minister and the service provider shall maintain in confidence all information described in clause (1) (b) that has not been aggregated.

F.O.I. Act

   (5)  Subsection (4) prevails over the Freedom of Information and Protection of Privacy Act.

Definition

   (6)  In this section,

"service provider" means a person who is at arm's length from the Crown in right of Ontario and who has entered into a service provider agreement with the Crown in right of Ontario.

   (9)  Subsection 69 (1) of the Act is amended by adding the following paragraph:

  0.1  prescribing anything that is required or permitted to be prescribed by regulation or that is required or permitted to be done in accordance with the regulations or as provided by the regulations;

   (10)  Paragraph 6 of subsection 69 (1) of the Act is repealed and the following substituted:

    6.  governing terms and conditions that are applicable to,

            i.  agreements to supply persons with forest resources entered into under section 25,

           ii.  forest resource licences, and

          iii.  agreements with or commitments of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest;

   (11)  Paragraph 25 of subsection 69 (1) of the Act is repealed and the following substituted:

  25.  prescribing the returns that forest resource processing facility licensees shall make to the Minister, including the sources, species, quantities and disposition of forest resources processed, information on pricing and purchases and sales transaction information; 

  25.  governing the returns that forest resource processing facility licensees make, including,

            i.  to the Minister, in respect of information on sources, species, quantities and disposition of forest resources processed,

            ii  to a service provider and the Minister, in respect of financial information that a forest resource processing facility licensee provides in accordance with section 54.1;

   (12)  Clauses 74 (2) (b), (c) and (d) of the Act are repealed. 

Commencement and Short Title

Commencement

   29.  This Act comes into force on the day it receives Royal Assent.

Short title

   30.  The short title of this Act is the Ontario Forest Tenure Modernization Act, 2011.

EXPLANATORY NOTE

The Bill enacts the Ontario Forest Tenure Modernization Act, 2011 and amends the Crown Forest Sustainability Act, 1994.

The Ontario Forest Tenure Modernization Act, 2011 permits the Lieutenant Governor in Council, on the recommendation of the Minister, to incorporate by regulation one or more Ontario local forest management corporations.  Ontario local forest management corporations and their subsidiaries are Crown agents for all purposes.

The objects of an Ontario local forest management corporation include holding forestry resource licences and managing Crown forests in a sustainable manner, providing economic development opportunities for aboriginal peoples, managing its affairs as a self sustaining business entity and optimizing the value from Crown forest resources and marketing, selling and enabling access to a predictable and competitively priced supply of Crown forest resources.

Each Ontario local forest management corporation shall consist of its members who are appointed by the Lieutenant Governor in Council and who form the board of directors of the corporation.  The Lieutenant Governor in Council must designate one member as chair of the board and at least one member as vice-chair of the board.

Each Ontario local forest management corporation is under the management and control of its board of directors which may pass by-laws and resolutions for regulating its proceedings and generally for the conduct and management of the affairs of the corporation.  No by-law is effective unless the Minister of Northern Development, Mines and Forestry has consented to it.  An Ontario local forest management corporation shall not borrow money, invest or manage financial risk unless the activity is authorized by a by-law and, in addition to the Minister of Northern Development, Mines and Forestry, the Minister of Finance has consented to the by-law.  The board may by by-law establish committees of the board and may by by-law establish advisory committees, which may be composed of individuals other than members of the board.

An Ontario local forest management corporation has the capacity, rights, powers and privileges of a natural person for carrying out its objects, except as limited under the Act.  Where its by-laws permit it and the Minister of Northern Development, Mines and Forestry consents, an Ontario local forest management corporation may delegate any of its powers or duties to a subsidiary corporation, a committee of the board or any other person or body.  A delegation is subject to any conditions and restrictions that may be specified by the board of directors.  The establishment of a subsidiary corporation by an Ontario local forest management corporation and other matters dealing with a subsidiary, including its dissolution, are subject to the approval of the Lieutenant Governor in Council.

Each Ontario local forest management corporation shall appoint a general manager of the corporation and may establish job classifications, personnel qualifications, duties, powers and salary ranges for its officers and employees.  Members of the corporation and its officers and employees are generally not liable for any act done in good faith in the exercise or performance or intended exercise or performance of a power or duty under the Act or for any neglect or default in the exercise or performance in good faith of such a power or duty. The Ontario local forest management corporation, however, remains subject to any cause of action arising from any such act, neglect or default.

An Ontario local forest management corporation may temporarily invest money not immediately required to carry out its objects if authorized to do so by by-law and the by-law has been consented to by the Minister of Finance.  The Act specifies the classes of instruments in which such temporary investments may be made.  The Minister of Northern Development, Mines and Forestry may make grants to an Ontario local forest management corporation.

Ontario local forest management corporations are required to establish and maintain an accounting system and to maintain financial records and establish and maintain financial, management and information systems.  The board of directors of an Ontario local forest management corporation is required to appoint a licensed public accountant to annually audit the corporation and, in addition, such a corporation is subject to audit by the Auditor General.

The Minister may issue directives to Ontario local forest management corporations, which must ensure that the directives are complied with promptly and efficiently.  In addition, three months before the beginning of the fiscal year, an Ontario local forest management corporation must submit its business plan for the Minister's approval.  The board of an Ontario local forest management corporation must also submit an annual report to the Minister.

The Lieutenant Governor in Council may by order require the board of directors of an Ontario local forest management corporation to wind up the affairs of the corporation.

The Lieutenant Governor in Council is empowered to make regulations in respect of the Act.

The amendments to the Crown Forest Sustainability Act, 1994 include amending section 24 by adding a subsection that provides that section 24 does not apply with respect to entering into agreements under section 25 with or granting a forest resource licence to Ontario local forest management corporations. 

Section 28 is repealed and replaced with a section that applies not only to forest resource licences, as was the case under the former section, but also applies to agreements to supply forest resources and any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

A new section, section 35.1, is added to the Act that permits a licensee with the written consent of the Minister to surrender a forest resource licence on such terms as the Minister may impose.  The Act is further amended by adding section 41.1 which permits the Minister, with the approval of the Lieutenant Governor in Council, on the recommendation of the Minister, to cancel an agreement to supply forest resources, a forest resource licence and any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.  The grounds for cancellation are set out in subsection 41.1 (2).  Before cancelling an agreement, licence or commitment, the Minister must give notice of his or her intention to cancel to the holder of the agreement, licence or commitment and must give that person the opportunity to make representations to the Minister.

The new section 41.2 provides that no cause of action arises as a result of the re-enactment of subsection 28 (1) or anything done or not done in accordance with it or regulations made in respect of it, the amendment of a forest resource licence under section 34 or 38, the granting of a subsequent forest resource licence under section 38, the enactment of section 41.1 or anything done or not done in accordance with it or the suspension or cancellation of a forest resource licence under section 59.

The Act is amended by adding a new section, section 54.1, requiring holders of forest resource processing facility licences to make returns containing the specified information.  Certain financial information is provided to a third party who aggregates the information so it cannot be reasonably attributed to the licensee who provided it and who provides the aggregated information to the Minister.  A service provider is a person who is at arm's length from the Crown in right of Ontario and who has entered into a service provider agreement with the Crown in right of Ontario.

The regulation making authority in the Act is also amended.

Establishment of corporations

   3.  (1)  The Lieutenant Governor in Council may by regulation incorporate one or more Ontario local forest management corporations as corporations without share capital.

Corporations Information Act, etc.

   (2)  The Corporations Information Act, the Corporations Act and the Not-for-Profit Corporations Act, 2010 do not apply to Ontario local forest management corporations, except as may be prescribed.

Crown Forest Sustainability Act, 1994

   (3)  The Crown Forest Sustainability Act, 1994 applies to Ontario local forest management corporations.

Crown agents

   4.  Ontario local forest management corporations and their subsidiaries, if any, are Crown agents for all purposes. 

Objects of corporation

   5.  The following are the objects of an Ontario local forest management corporation:

    1.  To hold forest resource licences and manage Crown forests in a manner necessary to provide for the sustainability of Crown forests in accordance with the Crown Forest Sustainability Act, 1994 and to promote the sustainability of Crown forests.

    2.  To provide for economic development opportunities for aboriginal peoples.

    3.  To manage its affairs to become a self-sustaining business entity and to optimize the value from Crown forest resources while recognizing the importance of local economic development.

    4.  To market, sell and enable access to a predictable and competitively priced supply of Crown forest resources.

    5.  To carry out such other objects as may be prescribed by regulation.

Ontario Local Forest Management Corporations, Boards of Directors

Board of directors

   6.  (1)  Each Ontario local forest management corporation shall consist of no more than 12 members appointed by the Lieutenant Governor in Council, or such number as may be prescribed, who shall form the board of directors of the corporation.

Term

   (2)  The members of the board of directors of an Ontario local forest management corporation shall be appointed for a term of office at the pleasure of the Lieutenant Governor in Council.

Remuneration and expenses

   (3)  Each Ontario local forest management corporation shall pay its members the remuneration and expenses that the Lieutenant Governor in Council determines.

Chair and vice-chair

   (4)  For each Ontario local forest management corporation, the Lieutenant Governor in Council shall designate one of the members of the board of the corporation as chair of the board and at least one member as vice-chair of the board. 

Absence of chair

   (5)  If the chair of the board of an Ontario local forest management corporation is absent or otherwise unable to act or if the office is vacant, the vice-chair shall act in the place of the chair.

Quorum

   (6)  A majority of the members of the board of an Ontario local forest management corporation constitutes a quorum of the board, unless otherwise prescribed.

Conflict of interest, standards of care and indemnification

   (7)  Section 132 (conflict of interest), subsection 134 (1) (standards of care) and section 136 (indemnification) of the Business Corporations Act apply with necessary modifications to each Ontario local forest management corporation, its board of directors and its officers.

Termination

   (8)  A member ceases to be a member of the board of directors of an Ontario local forest management corporation if,

  (a)  the member's term, as specified in his or her appointment, expires; 

  (b)  the Lieutenant Governor in Council revokes the member's appointment as a member of the corporation;

   (c)  the member dies, resigns as a member of the board of directors or becomes a bankrupt.

Powers and duties of board

   7.  (1)  The affairs of each Ontario local forest management corporation are under the management and control of its board of directors. 

By-laws, general

   (2)  A board of directors may pass by-laws and resolutions for regulating its proceedings and generally for the conduct and management of the affairs of the corporation.

By-laws, consent of Minister

   (3)  No by-law of an Ontario local forest management corporation is effective unless the Minister has consented to the by-law.

Borrow, invest or manage financial risk by-law, consent

   (4)  A local forest management corporation shall not borrow money, invest or manage financial risk unless the activity is authorized by a by-law and, in addition to the consent of the Minister, the Minister of Finance has consented to the by-law.

Committees

Committees of the board

   8.  (1)  A board of directors of an Ontario local forest management corporation may by by-law establish one or more committees of the board as it considers appropriate. 

Advisory committees

   (2)  The board of directors of an Ontario local forest management corporation may by by-law establish one or more advisory committees, whose membership may be composed of individuals other than members of the board.

Ontario Local Forest Management Corporations, General Powers

Powers, natural person

   9.  (1)  Each Ontario local forest management corporation has the capacity, rights, powers and privileges of a natural person for carrying out its objects, except as limited under this Act. 

Delegation

   (2)  Where an Ontario local forest management corporation has by-laws that permit it and the Minister consents, an Ontario local forest management corporation may delegate any of its powers or duties under this Act to a subsidiary corporation established under section 10, a committee of the board or any other person or body.

   (3)  A delegation of powers or duties is subject to any conditions and restrictions that may be specified by the board of directors. 

Minister's approval

   (4)  An Ontario local forest management corporation shall not, without the approval of the Minister, acquire or dispose of any interest in real property or pledge, charge or encumber any of its personal property, except as is reasonably necessary or incidental to carrying out its objects and as a holder of forest resource licences, including leasing office or other space that is reasonably necessary for the purposes of the corporation.

Limitation re subsidiaries

   10.  (1)  Subject to subsection (2), an Ontario local forest management corporation may establish and dissolve subsidiary corporations.

   (2)  The establishment of a subsidiary corporation under subsection (1), the structure, powers, duties, governance, constitution and management of the subsidiary corporation, the dissolution of the subsidiary corporation and the terms of its dissolution shall be subject to the approval of the Lieutenant Governor in Council.

Ontario Local Forest Management Corporations, General Manager, Employees, etc.

General manager

   11.  Each Ontario local forest management corporation shall appoint a person to be the general manager of the corporation who shall be subject to the control and management of the board and who shall be paid by the corporation the remuneration and expense allowance as may be fixed by the corporation and approved by the Minister. 

Employees, etc.

   12.  Each Ontario local forest management corporation may,

  (a)  subject to the approval of the Minister, establish job classifications, personnel qualifications, duties, powers and salary ranges for its officers and employees;

  (b)  appoint, employ and promote its officers and employees in conformity with the classifications, qualifications and salary ranges approved by the Minister; and

   (c)  dismiss its officers and employees for just cause.

Professional assistance

   13.  An Ontario local forest management corporation may,

  (a)  engage persons, other than those mentioned in section 12, to provide professional, technical or other assistance to or on behalf of the corporation; and

  (b)  establish the terms of engagement and provide for the payment of the remuneration and expenses of persons engaged under clause (a). 

Ontario Local Forest Management Corporations, Immunity of Employees and Others

Immunity of employees and others

   14.  (1)  No action or other civil proceeding shall be commenced against a member, officer or employee of an Ontario local forest management corporation or a subsidiary for any act done in good faith in the exercise or performance or intended exercise or performance of a power or duty under this Act, the regulations, the by-laws of the corporation or a subsidiary or under a directive issued under subsection 22 (1) or for any neglect or default in the exercise or performance in good faith of such a power or duty. 

Immunity of the Crown and Crown agencies

   (2)  No action or other civil proceeding shall be commenced against the Crown or a Crown agency for any act, neglect or default by a person mentioned in subsection (1) or for any act, neglect or default by an Ontario local forest management corporation or a subsidiary. 

Liability of corporation or subsidiary

   (3)  Subsections (1) and (2) do not relieve the Ontario local forest management corporation or a subsidiary of any liability to which it would otherwise be subject in respect of a cause of action arising from any act, neglect or default mentioned in subsection (1).

Ontario Local Forest Management Corporations, Financial Matters

Temporary investments

   15.  (1)  An Ontario local forest management corporation may temporarily invest money not immediately required to carry out its objects if,

  (a)  a by-law of the Ontario local forest management corporation authorizes the investments; and

  (b)  in accordance with subsection 7 (4), the Minister of Finance has consented to the by-law.

   (2)  For purposes of clause (1) (a), an Ontario local forest management corporation is authorized to invest in the following:

    1.  Securities issued by or guaranteed as to principal and interest by a municipality in Canada, the Province of Ontario, any other province of Canada or Canada.

    2.  Guaranteed investment certificates of any trust corporation that is registered under the Loan and Trust Corporations Act.

    3.  Term deposits accepted by a credit union as defined in the Credit Unions and Caisses Populaires Act, 1994.

    4.  Deposit receipts, deposit notes, certificates of deposits, acceptances and other similar instruments issued or endorsed by any bank listed in Schedule I, II or III to the Bank Act (Canada).

Grants by Minister

   16.  The Minister may make grants to an Ontario local forest management corporation at such times and upon such terms as the Minister considers advisable.

Status of revenues and assets

   17.  (1)  Despite Part I of the Financial Administration Act, the revenues and assets of an Ontario local forest management corporation and its subsidiaries, if any, do not form part of the Consolidated Revenue Fund.

Use of revenue

   (2)  The revenues of an Ontario local forest management corporation shall be used to further its objects and for no other purpose.

Accounting system

   18.  Each Ontario local forest management corporation shall establish and maintain an accounting system satisfactory to the Minister.

Financial records, etc.

   19.  (1)  Each Ontario local forest management corporation shall maintain financial records for the corporation and its subsidiaries and shall establish financial, management and information systems that will enable the corporation to prepare financial statements in accordance with generally accepted accounting principles. 

Inspection

   (2)  Upon the request of the Minister or the Minister of Finance, an Ontario local forest management corporation and its subsidiaries shall promptly make their financial records available for inspection. 

Other information

   (3)  An Ontario local forest management corporation and its subsidiaries shall promptly make such other information as may be requested by the Minister or the Minister of Finance available for inspection.

Fiscal year

   20.  The fiscal year of an Ontario local forest management corporation commences on April 1 in each year and ends on March 31 of the following year. 

Audit

   21.  (1)  The board of directors of each Ontario local forest management corporation shall appoint one or more licensed public accountants to audit the accounts and financial transactions of the corporation and its subsidiaries for the previous fiscal year. 

Auditor General

   (2)  The Auditor General may also audit the accounts and financial transactions of an Ontario local forest management corporation and any of its subsidiaries for any fiscal year.

Minister appointed auditor

   (3)  The Minister may at any time appoint a licensed public accountant, other than the person appointed under subsection (1), to audit the accounts and financial transactions of an Ontario local forest management corporation and any of its subsidiaries for any period of time that the Minister specifies. 

Co-operation by corporation

   (4)  If the Minister requires that an audit of an Ontario local forest management corporation and any of its subsidiaries be conducted under subsection (3), the corporation shall co-operate fully with the person performing the audit to facilitate the audit.

Directives, Business Plan and Annual Report

Minister's directives

   22.  (1)  The Minister may issue directives in writing to Ontario local forest management corporations in respect of any matter under this Act.

Compliance

   (2)  The board of directors of an Ontario local forest management corporation shall ensure that the directives are implemented promptly and efficiently and are complied with by the corporation.

General or specific

   (3)  A directive may be general or specific in its application and may apply to one or more specified Ontario local forest management corporations or a specified class of Ontario local forest management corporations. 

Legislation Act, 2006

   (4)  Part III of the Legislation Act, 2006 does not apply to a directive issued under this section.

Business plan

   23.  (1)  At least three months before the beginning of each fiscal year or by such other date as the Minister specifies, each Ontario local forest management corporation shall submit its business plan for the fiscal year to the Minister for approval. 

Contents

   (2)  Unless specified otherwise by the Minister, the business plan must be based on a three-year cycle and must include,

  (a)  the corporation's proposed operating budget for the fiscal year;

  (b)  the corporation's projected operating budget for each of the next two fiscal years after the fiscal year;

   (c)  the projected revenues of the corporation for the fiscal year and their sources;

  (d)  the projected operating expenditures of the corporation for the fiscal year;

  (e)  performance measures establishing targets for the fiscal year; and

    (f)  all other information that the Minister requires.

Changes

   (3)  An Ontario local forest management corporation may make changes to its business plan with the approval of the Minister. 

Annual report

   24.  (1)  The board of each Ontario local forest management corporation shall submit an annual report on its affairs to the Minister within 120 days after the end of each fiscal year or by such other date as the Minister specifies. 

Contents

   (2)  The annual report shall include the audited financial statements of the Ontario local forest management corporation.

Other reports

   25.  Each Ontario local forest management corporation shall promptly prepare and submit to the Minister any other report that the Minister requires. 

Winding Up Corporation

Winding up a corporation

   26.  (1)  The Lieutenant Governor in Council may by order require the board of directors of an Ontario local forest management corporation to wind up the affairs of the corporation. 

Approved plan required

   (2)  The board shall prepare a proposed plan for winding up the Ontario local forest management corporation and transferring its assets and liabilities and shall give the proposed plan to the Lieutenant Governor in Council for approval. 

Restriction

   (3)  Before winding up the Ontario local forest management corporation, the board shall ensure that any of the corporation's outstanding liabilities related to forest management under the Crown Forest Sustainability Act, 1994 or other applicable legislation that are owed to the Crown are satisfied before the corporation's assets and liabilities are transferred.

Restriction

   (4)  Subject to subsection (3), the plan for winding up the Ontario local forest management corporation may provide for,

  (a)  liquidating assets and transferring the proceeds to the Consolidated Revenue Fund or to an agency of the Crown; and

  (b)  transferring assets and liabilities to the Crown in right of Ontario or to an agency of the Crown. 

Implementation

   (5)  When the Lieutenant Governor in Council approves the proposed plan, the board of directors shall wind up the affairs of the Ontario local forest management corporation and transfer its assets and liabilities, including transferring the proceeds from the liquidation of assets, in accordance with the plan. 

Regulations

Regulations, general

   27.  (1)  The Lieutenant Governor in Council may make regulations,

  (a)  governing Ontario local forest management corporations;

  (b)  prescribing anything that is required or permitted to be prescribed or that is required or permitted to be done in accordance with the regulations or as provided by the regulations;

   (c)  defining words and expressions that are used in this Act that are not expressly defined in this Act;

  (d)  exempting any person or thing or any class of them from this Act, any provision of this Act, any regulations made by the Lieutenant Governor in Council or any provision of such a regulation and setting out the circumstances, if any, specified in the regulations and establishing any conditions that attach to the exemption.

   (2)  As examples of general matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  incorporating Ontario local forest management corporations;

  (b)  prescribing additional objects for Ontario local forest management corporations;

   (c)  authorizing additional powers for Ontario local forest management corporations for purposes of achieving its objects, including any additional objects that may be prescribed;

  (d)  respecting the assets and liabilities of Ontario local forest management corporations;

  (e)  in respect of members of Ontario local forest management corporations,

           (i)  prescribing persons or classes of persons who may provide lists of potential members to the Minister,

          (ii)  respecting reserving positions as members to certain persons or classes of persons,

         (iii)  respecting persons or classes of persons who must be included as members,

         (iv)  respecting the qualifications of members,

          (v)  respecting persons or classes of persons who are prohibited from being members or who are prohibited from being nominated as a member,

         (vi)  prescribing the maximum number of members appointed to the board of directors of an Ontario local forest management corporation.

   (3)  As examples of corporate matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  amalgamating or dissolving one or more Ontario local forest management corporations;

  (b)  dividing an Ontario local forest management corporation into two or more Ontario local forest management corporations;

   (c)  changing the name of an Ontario local forest management corporation;

  (d)  making such other corporate changes as the Lieutenant Governor in Council considers advisable or expedient.

   (4)  In respect of corporate matters about which the Lieutenant Governor in Council may make regulations, the Lieutenant Governor in Council may make regulations,

  (a)  establishing processes or requirements for dealing with the employees and the assets, including real and personal property, liabilities, rights and obligations of Ontario local forest management corporations upon the amalgamation, dissolution or division of one or more Ontario local forest management corporations under clause (3) (a) or (b);

  (b)  establishing processes or requirements for corporate changes as may be prescribed under clause (3) (d).

Amendments to the Crown Forest Sustainability Act, 1994

Crown Forest Sustainability Act, 1994

   28.  (1)  The definitions of "Minister" and "Ministry" in section 3 of the Crown Forest Sustainability Act, 1994 are repealed and the following substituted:

"Minister" means the Minister of Natural Resources or any other member of the Executive Council to whom responsibility for the administration of this Act may be assigned or transferred under the Executive Council Act; ("ministre")

"Ministry" means the ministry of the Minister; ("ministère")

   (2)  Section 24 of the Act is amended by adding the following subsection:

Same

   (4)  This section does not apply with respect to entering into an agreement under section 25 with or granting a forest resource licence to an Ontario local forest management corporation incorporated under the Ontario Forest Tenure Modernization Act, 2011 and the exception under this subsection is in addition to any exception under subsection (3). 

   (3)  Subsection 25 (3) of the Act is repealed.

   (4)  Section 28 of the Act is repealed and the following substituted:

Terms and conditions

   28.  (1)  The following are subject to such terms and conditions as are prescribed by regulation and to such other terms and conditions as may be specified in the licence, agreement or commitment:

    1.  A forest resource licence.

    2.  An agreement to supply forest resources entered into under section 25.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Application

   (2)  Subsection (1) applies to licences, agreements and commitments issued or entered into before and after this section comes into force.

Additional authority

   (3)  The terms and conditions that may be prescribed by regulation or specified in the licence, agreement or commitment under subsection (1) are in addition to the power of the Minister to amend a forest resource licence in accordance with section 34 and are not subject to section 34. 

   (5)  Subsection 32 (1) of the Act is amended by striking out "Minister of Natural Resources" and substituting "Minister responsible for this section". 

   (6)  Section 35 of the Act is amended by adding the following subsection:

Same

   (1.1)  In the written consent, the Minister may impose conditions on the transfer, assignment, charge or other disposition of the forest resource licence. 

   (7)  The Act is amended by adding the following section:

Surrender of licences

   35.1  (1)  A licensee may, with the written consent of the Minister, surrender a forest resource licence on such terms as the Minister may impose.

Same

   (2)  Nothing in subsection (1) affects the validity of the surrender of a licence which occurred before the day this section came into force.

   (8)  Part III of the Act is amended by adding the following sections:

Cancellations of agreements, licences or commitments

   41.1  (1)  On the recommendation of the Minister, the Lieutenant Governor in Council may by order cancel any of the following:

    1.  An agreement to supply forest resources entered into under section 25.

    2.  A forest resource licence.

    3.  Any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

Grounds for cancellation

   (2)  The Lieutenant Governor in Council may make an order under subsection (1) if the Lieutenant Governor in Council is of the opinion that,

  (a)  the order is necessary or desirable to facilitate or permit the issuance of a forest resource licence to an Ontario local forest management corporation that has been, or is proposed to be, established;

  (b)  the party holding the agreement, licence or commitment is not optimally using the forest resources as permitted in the agreement, licence or commitment and that making the forest resources available to another party for harvesting or for use for a designated purpose is likely to result in a more optimal use of the forest resources; or

   (c)  the order is necessary or desirable for such other reasons, whether or not the reasons are related to the reasons set out in clause (a) or (b), as are prescribed by the regulations.

Additional authority

   (3)  The authority of the Lieutenant Governor in Council to cancel an agreement, licence or commitment under subsection (1) is in addition to the authority of the Minister to cancel or suspend a forest resource licence under section 59 and is not subject to section 59.

Definition

   (4)  In this section,

"Ontario local forest management corporation" means an Ontario local forest management corporation incorporated under section 3 of the Ontario Forest Tenure Modernization Act, 2011.

Limitations on remedies

   41.2  (1)  No cause of action arises as a direct or indirect result of,

  (a)  the re-enactment of subsection 28 (1) or anything done or not done in accordance with it or regulations made in respect of it;

  (b)  the amendment of a forest resource licence under section 34 or 38;

   (c)  the granting of a subsequent forest resource licence under section 38;

  (d)  the enactment of section 41.1 or anything done or not done in accordance with it; or

  (e)  the suspension or cancellation of a forest resource licence under section 59.

No remedy

   (2)  No costs, compensation or damages are owing or payable to any person and no remedy, including but not limited to a remedy in contract, restitution, tort or trust, is available to any person in connection with anything referred to in subsection (1).

Proceedings barred

   (3)  No proceeding, including but not limited to any proceeding in contract, restitution, tort or trust, that is directly or indirectly based on or related to anything referred to in subsection (1) may be brought or maintained against any person.

   (4)  Subsection (3) applies regardless of whether the cause of action on which the proceeding is purportedly based arose before or after the coming into force of this section. 

Proceedings set aside

   (5)  Any proceeding referred to in subsection (3) commenced before the day this section comes into force shall be deemed to have been dismissed, without costs, on the day this section comes into force. 

No expropriation or injurious affection

   (6)  Nothing done or not done in accordance with the provisions referred to in subsection (1) or the regulations made in respect of them constitutes an expropriation or injurious affection for the purposes of the Expropriations Act or otherwise at law.

Exception, proceeding by the Crown

   (7)  This section does not apply to a proceeding commenced by the Crown and nothing in this section precludes a proceeding commenced by the Crown.

Person defined

   (8)  In this section,

"person" includes, but is not limited to, the Crown and its employees and agents, members of the Executive Council, and municipalities and their employees and agents. 

   (9)  Subsection 69 (1) of the Act is amended by adding the following paragraph:

  0.1  prescribing anything that is required or permitted to be prescribed by regulation or that is required or permitted to be done in accordance with the regulations or as provided by the regulations;

   (10)  Paragraph 6 of subsection 69 (1) of the Act is repealed and the following substituted:

    6.  governing terms and conditions that are applicable to,

            i.  agreements to supply persons with forest resources entered into under section 25,

           ii.  forest resource licences, and

          iii.  agreements with or commitments of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest;

   (11)  Paragraph 25 of subsection 69 (1) of the Act is repealed and the following substituted:

  25.  prescribing the returns that forest resource processing facility licensees shall make to the Minister, including the sources, species, quantities and disposition of forest resources processed, information on pricing and purchases and sales transaction information; 

   (12)  Clauses 74 (2) (b), (c) and (d) of the Act are repealed. 

Commencement and Short Title

Commencement

   29.  This Act comes into force on the day it receives Royal Assent.

Short title

   30.  The short title of this Act is the Ontario Forest Tenure Modernization Act, 2011.

 

EXPLANATORY NOTE

The Bill enacts the Ontario Forest Tenure Modernization Act, 2011 and amends the Crown Forest Sustainability Act, 1994.

The Ontario Forest Tenure Modernization Act, 2011 permits the Minister to incorporate by regulation one or more Ontario local forest management corporations.  Ontario local forest management corporations and their subsidiaries are Crown agents for all purposes.

The objects of an Ontario local forest management corporation include holding forestry resource licences and managing Crown forests in a sustainable manner, providing economic development opportunities for aboriginal peoples, managing its affairs as a self sustaining business entity and optimizing the value from Crown forest resources and marketing, selling and enabling access to a predictable and competitively priced supply of Crown forest resources.

Each Ontario local forest management corporation shall consist of its members who are appointed by the Lieutenant Governor in Council and who form the board of directors of the corporation.  The Lieutenant Governor in Council must designate one member as chair of the board and at least one member as vice-chair of the board.

Each Ontario local forest management corporation is under the management and control of its board of directors which may pass by-laws and resolutions for regulating its proceedings and generally for the conduct and management of the affairs of the corporation.  No by-law is effective unless the Minister of Northern Development, Mines and Forestry has consented to it.  An Ontario local forest management corporation shall not borrow money, invest or manage financial risk unless the activity is authorized by a by-law and, in addition to the Minister of Northern Development, Mines and Forestry, the Minister of Finance has consented to the by-law.  The board may by by-law establish committees of the board and may by by-law establish advisory committees, which may be composed of individuals other than members of the board.

An Ontario local forest management corporation has the capacity, rights, powers and privileges of a natural person for carrying out its objects, except as limited under the Act.  Where its by-laws permit it and the Minister of Northern Development, Mines and Forestry consents, an Ontario local forest management corporation may delegate any of its powers or duties to a subsidiary corporation, a committee of the board or any other person or body.  A delegation is subject to any conditions and restrictions that may be specified by the board of directors.  The establishment of a subsidiary corporation by an Ontario local forest management corporation and other matters dealing with a subsidiary, including its dissolution, are subject to the approval of the Lieutenant Governor in Council.

Each Ontario local forest management corporation shall appoint a general manager of the corporation and may establish job classifications, personnel qualifications, duties, powers and salary ranges for its officers and employees.  Members of the corporation and its officers and employees are generally not liable for any act done in good faith in the exercise or performance or intended exercise or performance of a power or duty under the Act or for any neglect or default in the exercise or performance in good faith of such a power or duty. The Ontario local forest management corporation, however, remains subject to any cause of action arising from any such act, neglect or default.

An Ontario local forest management corporation may temporarily invest money not immediately required to carry out its objects if authorized to do so by by-law and the by-law has been consented to by the Minister of Finance.  The Act specifies the classes of instruments in which such temporary investments may be made.  The Minister of Northern Development, Mines and Forestry may make grants to an Ontario local forest management corporation.

Ontario local forest management corporations are required to establish and maintain an accounting system and to maintain financial records and establish and maintain financial, management and information systems.  The board of directors of an Ontario local forest management corporation is required to appoint a licensed public accountant to annually audit the corporation and, in addition, such a corporation is subject to audit by the Auditor General.

The Minister may issue directives to Ontario local forest management corporations, which must ensure that the directives are complied with promptly and efficiently.  In addition, three months before the beginning of the fiscal year, an Ontario local forest management corporation must submit its business plan for the Minister's approval.  The board of an Ontario local forest management corporation must also submit an annual report to the Minister.

The Lieutenant Governor in Council may by order require the board of directors of an Ontario local forest management corporation to wind up the affairs of the corporation.

The Lieutenant Governor in Council is empowered to make regulations in respect of the Act.

The amendments to the Crown Forest Sustainability Act, 1994 include amending section 24 by adding a subsection that provides that section 24 does not apply with respect to entering into agreements under section 25 with or granting a forest resource licence to Ontario local forest management corporations. 

Section 28 is repealed and replaced with a section that applies not only to forest resource licences, as was the case under the former section, but also applies to agreements to supply forest resources and any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.

A new section, section 35.1, is added to the Act that permits a licensee with the written consent of the Minister to surrender a forest resource licence on such terms as the Minister may impose.  The Act is further amended by adding section 41.1 which permits the Lieutenant Governor in Council, on the recommendation of the Minister, to cancel an agreement to supply forest resources, a forest resource licence and any agreement with or commitment of the Crown in right of Ontario for the supply or the directing of forest resources from a Crown forest.  The grounds for cancellation are set out in subsection 41.1 (2).

The new section 41.2 provides that no cause of action arises as a result of the re-enactment of subsection 28 (1) or anything done or not done in accordance with it or regulations made in respect of it, the amendment of a forest resource licence under section 34 or 38, the granting of a subsequent forest resource licence under section 38, the enactment of section 41.1 or anything done or not done in accordance with it or the suspension or cancellation of a forest resource licence under section 59.

The regulation making authority in the Act is also amended.
