An Act respecting
Royal Ottawa Health Care Group/
Services de Santé Royal Ottawa

Preamble

The Board of Trustees of the Royal Ottawa Health Care Group/Services de Santé Royal Ottawa and the City of Ottawa have applied for special legislation to transfer the rights, obligations, assets and liabilities of the Board of Trustees to a separate corporation. The separate corporation is named Royal Ottawa Health Care Group 2002/Services de Santé Royal Ottawa 2002, but the applicants wish to change its name to Royal Ottawa Health Care Group/Services de Santé Royal Ottawa. The applicants also wish to remove any interest that the Lung Association (formerly the Ottawa Anti-Tuberculosis Association) and the City of Ottawa have in the health-care operations provided by the Board of Trustees or in the assets related to those operations. The applicants represent that the City of Ottawa was authorized by special Act in 1909 to enter into an agreement with the Ottawa Anti-Tuberculosis Association to erect and operate a hospital or sanatorium, that the hospital or sanatorium was named the Royal Ottawa Sanatorium by an amending special Act in 1924, that the management of the Royal Ottawa Sanatorium was vested by an amending special Act in 1945 in a corporation established under that special Act as The Board of Trustees of the Royal Ottawa Sanatorium, that the objects of the Royal Ottawa Sanatorium and the powers of The Board of Trustees of the Royal Ottawa Sanatorium were expanded by an amending special Act in 1960-61 and that The Board of Trustees of the Royal Ottawa Sanatorium changed the name of the Royal Ottawa Sanatorium by supplementary letters patent on November 1, 1968 to Royal Ottawa Hospital and on June 9, 1987 to the Royal Ottawa Health Care Group/Services de Santé Royal Ottawa. The applicants further represent that Royal Ottawa Health Care Group 2002/Services de Santé Royal Ottawa 2002 to which they wish to transfer the rights, obligations, assets and liabilities is another corporation without share capital that was incorporated by letters patent on June 13, 2002 under the Corporations Act, with the approval of the Minister of Health and Long-Term Care pursuant to the Public Hospitals Act.

It is appropriate to grant the application.

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

Definitions

1. In this Act,

"new corporation" means the corporation incorporated on June 13, 2002 by letters patent under the Corporations Act under the name Royal Ottawa Health Care Group 2002/Services de Santé Royal Ottawa 2002;

"special Act corporation" means the Royal Ottawa Health Care Group/Services de Santé Royal Ottawa, incorporated under The Royal Ottawa Sanatorium Act, 1945.

Transfer of rights, obligations, assets and liabilities

2. (1) The rights, obligations, assets and liabilities of the special Act corporation are hereby vested in the new corporation and the new corporation stands in the place of the special Act corporation for all purposes.

Transfer of gifts

(2) On the day this Act comes into force, all gifts, other than gifts made by trust or bequest, made to or intended for the special Act corporation shall be construed as gifts to the new corporation for the purpose of carrying out its objects, unless the gift expressly provides otherwise.

Claims

(3) Claims that may be made by or against the special Act corporation with respect to the health-care operations provided by it before this Act comes into force or the assets related to those operations may be made by or against the new corporation in its place when this Act comes into force.

Proceedings

(4) On the day this Act comes into force, the new corporation replaces the special Act corporation as a party in any ongoing proceeding with respect to the health-care operations provided by the special Act corporation before this Act comes into force or the assets related to those operations.

Taxes

(5) The Retail Sales Tax Act and the Land Transfer Tax Act do not apply to any transfer of assets under this section.

Termination of agreements

3. All agreements relating to the special Act corporation that were made among the special Act corporation, the City of Ottawa and the Lung Association, Ottawa-Carleton Region (formerly the Ottawa Anti-Tuberculosis Association), or between the special Act corporation and either of the other two parties, are hereby terminated.

Name of new corporation changed

4. On the day this Act comes into force, the name of the new corporation is changed to Royal Ottawa Health Care Group/Services de Santé Royal Ottawa.

Repeals

5. The following are repealed:

1. An Act respecting the establishment in the City of Ottawa of a Hospital or Sanatorium for the reception, care and treatment of persons suffering from tuberculosis, being chapter 117 of the Statutes of Ontario, 1909.

2. The Royal Ottawa Sanatorium Act, 1924.

3. The Royal Ottawa Sanatorium Act, 1945.

4. The Royal Ottawa Sanatorium Act, 1960-61.

Commencement

6. This Act comes into force on the day it receives Royal Assent.

Short title

7. The short title of this Act is the Royal Ottawa Health Care Group/Services de Santé Royal Ottawa Act, 2002.
