An Act respecting Peterborough General Hospital

Preamble

The Corporation of the City of Peterborough and the board of governors of The Peterborough Civic Hospital have applied for special legislation to change the name of the hospital corporation, its objects, its powers and the composition of its board. The applicants also wish to transfer certain property from the City to the hospital corporation and to transfer any gifts, trusts and bequests made to the City in trust for the hospital.

It is appropriate to grant the application.

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

Definitions

1. In this Act,

"

City" means The Corporation of the City of Peterborough.

Hospital corporation continued

2. (1) The Peterborough Civic Hospital is continued as a corporation without share capital under the name Peterborough General Hospital.

Same

(2) The hospital corporation is composed of the members of its board and such other persons as the by-laws may provide.

Objects

3. The objects of the hospital corporation are,

(a) to establish, equip, maintain and operate a public hospital;

(b) to maintain and operate related facilities;

(c) to participate in the education of persons who provide health care; and

(d) to provide health care programs and services for the people of Peterborough and surrounding communities, including family planning services, programs and services at long term care facilities and community programs and services.

Powers

4. The hospital corporation has the capacity and the rights, powers and privileges of a natural person.

Board

5. (1) The affairs of the hospital corporation shall be managed by its board.

Composition

(2) The board of the hospital corporation is composed of,

(a) the persons required by the Public Hospitals Act\; and

(b) the persons required by by-law, to be chosen in the manner specified by by-law.

Term of office

(3) The term of office of board members described in clause (2) (b) is as specified by by-law.

Initial board

(4) The following persons shall be deemed to hold office under clause (2) (b) on the day this Act comes into force:

1. Huda Al Haddad, Paul Ayotte, Bernard Blishen, Jane Dudas, John Goodman and Loretta Round (term of office expires on May 31, 1999).

2. Michael McIntyre, Neil Rogers and Dawn Straka (term of office expires on May 31, 2000).

3. Doris Brick, Richard Krug and Kenneth Powell (term of office expires on May 31, 2001).

Interest in property

6. (1) Any interest of the City in personal property that is used for the purposes of the hospital corporation immediately before this Act comes into force is transferred to the hospital corporation when this Act comes into force.

(2) Subject to subsection (3), a conveyance executed by the City and registered in the appropriate land registry office vests in the hospital corporation all right, title and interest of the City in the lands designated as Parts 1, 13 and 27 on Plan 45R-8944, deposited in the land registry office.

Exception

(3) The City may reserve an easement over the lands designated as Part 27 on Plan 45R-8944.

Gifts, etc.

7. (1) The hospital corporation shall hold and administer all gifts, trusts and bequests made to the City in trust for the hospital corporation, unless the gift, trust or bequest expressly provides otherwise.

Same

(2) A gift, trust or bequest described in subsection (1) is to be transferred to the hospital corporation.

Trust property

(3) The hospital corporation is the trustee of property that, before its transfer under this Act, is trust property and following the transfer, the property remains trust property.

Claims

(4) Claims that may be made by or against the City with respect to property held in trust by the City for the hospital corporation before this Act comes into force may be made by or against the hospital corporation in its place when this Act comes into force.

Same

(5) No claim may be made by or against the City with respect to property held in trust by the City for the hospital corporation before this Act comes into force.

Proceedings

(6) On the day this Act comes into force, the hospital corporation replaces the City as a party in any ongoing proceeding with respect to property held in trust by the City for the hospital corporation before this Act comes into force.

Transfers upon dissolution

8. Upon the dissolution of the hospital corporation, the remaining property of the hospital corporation shall be given to charitable organizations that provide health care in the County of Peterborough.

Repeal

9. The following are repealed:

1. The Peterborough Civic Hospital Act, 1945.

2. Sections 1 to 6 of The City of Peterborough Act, 1949.

3. Peterborough Civic Hospital Act, 1985.

4. Peterborough Civic Hospital Act, 1988.

Commencement

10. This Act comes into force on the day it receives Royal Assent.

Short title

11. The short title of this Act is the Peterborough General Hospital Act, 1998.
