The Vice-Chair (Mr. Lou Rinaldi): Good morning. I will call to order the Standing Committee on Regulations and Private Bills. This morning we have two private bills on the agenda for consideration.

James Guy Limited Act, 2017

Consideration of the following bill:

Bill Pr68, An Act to revive James Guy Limited.

The Vice-Chair (Mr. Lou Rinaldi): Our first bill is Bill Pr68, An Act to revive James Guy Limited. We have the sponsor—you don’t look like Bob Bailey but close enough. Welcome.

I will ask the sponsor—if you want to say a few words and maybe introduce—

Mr. Bill Walker: Yes, I will be sitting in for my colleague Bob Bailey. I’d like to introduce Paula Downs. Paula is a solicitor, and she’ll be providing information in regard to An Act to revive James Guy Limited.

Ms. Paula Downs: Thank you, Vice-Chair.

The Vice-Chair (Mr. Lou Rinaldi): If you could just state your name for Hansard before we start it would be appreciated.

Ms. Paula Downs: Paula Downs; I’m a lawyer for Royal Trust.

The Vice-Chair (Mr. Lou Rinaldi): Great, thank you. Go ahead.

Ms. Paula Downs: So this company, James Guy Ltd., was dissolved in 1990 and James Guy, the main principal of the company, has since deceased. His estate is holding real property that the beneficiaries would like to receive from the estate, but they can’t actually access the real property because the company is dissolved and the property is in the company’s name. All of the requisite steps have been taken and now we need to revive the company through the private member’s bill.

The Vice-Chair (Mr. Lou Rinaldi): Is that it?

Ms. Paula Downs: Yes, thank you.

The Vice-Chair (Mr. Lou Rinaldi): Any questions from members? Ms. Vernile.

Ms. Daiene Vernile: Good morning, and thank you for coming to Queen’s Park. Can you tell us a little bit more about this company?

Ms. Paula Downs: It was just a family corporation, a farming corporation. It owns farmlands in Lambton county. Mr. Guy was married; his wife—deceased a long time ago. Mr. Guy and his wife had two children, two daughters. He passed away a number of years ago, but he failed to file his corporate returns as far back as 1990. He maintained a farming operation but did not maintain his filings, so the company was dissolved by the government.

Ms. Daiene Vernile: What kind of farming was he into?

Ms. Paula Downs: Just a cash crop operation.

Ms. Daiene Vernile: Okay. Once you revive and take care of your business, how soon will you dissolve again?

Ms. Paula Downs: How soon will we?

Ms. Daiene Vernile: Dissolve again.

Ms. Paula Downs: I think that would depend on the estate. As soon as the estate is wrapped up and the assets, which are primarily the farmland, are sold, then they would dissolve the corporation again.

Ms. Daiene Vernile: Is there a dollar value to this?

Ms. Paula Downs: I understand that the farmlands—there might be about 100 acres, so maybe a million dollars? There are two daughters who are the sole beneficiaries.

Ms. Daiene Vernile: Okay. Thank you.

Ms. Paula Downs: Thank you.

The Vice-Chair (Mr. Lou Rinaldi): If you could introduce yourself for Hansard, please.

Ms. Jacklyn Thomson: I’m Jacklyn Thomson. I am an office administrator for Tracy J. Drynan Professional Corp.

The Vice-Chair (Mr. Lou Rinaldi): Okay. Do you have anything to say? We have a very, very short time frame.

Ms. Jacklyn Thomson: Oh, sorry. We would like to resurrect Silver Merle Corp., as there was a related outstanding amount in the corporation from another corporation that we need to deal with. That’s why we need to resurrect it.

Sorry, I’m so out of breath.

The Vice-Chair (Mr. Lou Rinaldi): It’s okay.

Ms. Jacklyn Thomson: Thank you.
