The Chair (Mr. Ted McMeekin): We’ll call the meeting to order. We’ll do something interesting. We’ll do the first one first: Mr. Rinaldi. Members, I now call the Standing Committee on Regulations and Private Bills to order. There are two private bills on the agenda for consideration.

Bill Pr64, An Act to revive Sierra Cleaning Solutions Inc.

The Chair (Mr. Ted McMeekin): I’ll introduce the sponsor. We have Lou Rinaldi for Amrit Mangat. Mr. Rinaldi.

Mr. Lou Rinaldi: I’m here on behalf of MPP Amrit Mangat in regard to Bill Pr64, An Act to revive Sierra Cleaning Solutions Inc. I will introduce to you Ms. Manuela Masatti, the applicant.

The Chair (Mr. Ted McMeekin): Okay. Ms. Masatta?

Ms. Manuela Masatti: Masatti.

The Chair (Mr. Ted McMeekin): Masatti. Would you introduce yourself and share with us whatever information you would like us to know?

Ms. Manuela Masatti: I’m the bookkeeper for Ana Di Santi, who owned Sierra Cleaning Solutions Inc. in Mississauga. She inadvertently cancelled—actually, dissolved the corporation, not realizing that the building that the runs her current business out of was owned by this corporation. The corporation itself has been inactive for several years, so she just decided to dissolve the corporation. Then she decided she wanted to sell this unit, and the real estate agent brought it to our attention that this corporation was the owner of the unit. So she needs to revive the corporation for this purpose.

The Chair (Mr. Ted McMeekin): Okay, is there anybody else here in reference to this application who wants to speak? It’s pro forma; we need to ask that just to make sure.

Ms. Manuela Masatti: No problem.

Mr. Jeff Yurek: Do you have to ask us three times?

The Chair (Mr. Ted McMeekin): Is there anybody here? Is there anybody here? Third and final—hearing none. All right. Are there any comments from the government side?

Ms. Daiene Vernile: I have some questions.

The Chair (Mr. Ted McMeekin): Yes, Ms. Vernile?

Ms. Daiene Vernile: Thank you very much for coming here this morning. When you say that she inadvertently dissolved: Why did she make that move? Why did she dissolve it?

Ms. Manuela Masatti: Because the corporation was inactive for several years and she actually told me she was getting a little fed up with having to pay the accountant to file nil tax returns, so she just said, “This is ridiculous. It’s inactive. I’m dissolving it.” So she did it herself.

Ms. Daiene Vernile: So she wants to revive in order to sell the building?

Ms. Manuela Masatti: That’s right.

Ms. Daiene Vernile: And after she sells, will she again, then, dissolve?

Ms. Manuela Masatti: I don’t know if she’s going to dissolve again. I think that she might, because the purpose was just to close the corporation simply because there was no activity on it. Ana could probably answer that better, but I can certainly get an answer for you on that.

Ms. Daiene Vernile: That’s fine. Thank you.

St. Pola Drugs Inc. Act, 2017

Consideration of the following bill:

Bill Pr65, An Act to revive St. Pola Drugs Inc.

The Chair (Mr. Ted McMeekin): Okay, members. This second item on our agenda is Bill Pr65, An Act to revive St. Pola Drugs Inc. The sponsor is Ms. Martow, and the applicant is Ikbal Boazak. Ms. Martow, do you want to start off?

Mrs. Gila Martow: It’s very similar to the previous private bill, which is that Mr. and Mrs. Boazak have applied to revive St. Pola Drugs Inc. because at the time the corporation was dissolved, Mr. Maher Boazak was a director and shareholder of the corporation, and Mrs. Ikbal Boazak was a shareholder. The corporation was dissolved under the Business Corporations Act on March 17, 2016, exactly a year ago to the day.

Pursuant to articles of dissolution, the applicants represent that they would like to revive the corporation in order to deal with certain property that was held in the corporation’s name at the time of dissolution.

I don’t know if there’s maybe some kind of mechanism that we can look at as a government in coming years or decades to make it easier for people to know, before they dissolve a corporation, if there is property out there—because it seems to be quite common—that needs to be sold before the corporation gets dissolved, but that’s just my two cents. Any questions for myself or Mrs. Boazak?

The Chair (Mr. Ted McMeekin): Welcome. Do you have any comments you’d like to make?

Mrs. Gila Martow: Do you want to tell them anything?

Mrs. Ikbal Boazak: No, just if there are any questions, I can answer.

The Chair (Mr. Ted McMeekin): Okay, fair enough. Any questions from the government side?

Ms. Daiene Vernile: Ikbal, thank you very much for coming here this morning. Can you tell us a little bit more about this company, why it is that you are here today and what you’re trying to put forward to us?

Mrs. Ikbal Boazak: We dissolved the company because—my husband, the director, is a pharmacist; that is why the corporation is called St. Pola Drugs Inc. For health reasons, he retired and he had to sell the pharmacy. There’s no way to carry a corporation under “drugs.” That’s why we dissolved the corporation. But when we dissolved it, we realized that the building was held under the same corporation.

They said we should have transferred the building before the dissolution. That’s why we want to revive it.

Ms. Daiene Vernile: So you want to revive it so that you can deal with that property?

Mrs. Ikbal Boazak: Yes.

Ms. Daiene Vernile: Okay. And then will you sell the property?

Mrs. Ikbal Boazak: We will transfer it to another corporation under our name, which we have already, because he doesn’t have the right now to hold anything under “drugs,” because he is retired. He is a retired pharmacist.

Ms. Daiene Vernile: Thank you very much.
